- MLA preamble: the Agreement "governs the receipt and use of HCLSoftware Programs and related Support". Each Order is subject to the MLA and any License Information Document and is a discrete contract.

Invoiced annually in advance, payable in 30 days, 1% per month on overdue amounts; fees non-refundable and non-cancellable. Additional fees for over-deployment and reinstatement of lapsed Support. Audit once per 12 months with 15 days notice.
