HCLSoftware

HCLSoftware is the software business of HCLTech, publishing products such as BigFix, AppScan, Domino, Unica and Informix. Programs are licensed under the HCLSoftware Master License Agreement up to a Licensed Capacity stated in each order, as term (subscription) or perpetual licences.

  1. HCLSoftware grants a non-exclusive, non-transferable, limited and revocable licence to use Programs in the Territory, up to the Licensed Capacity, only for internal business purposes and for the term stated in the Order.[1]

  2. Use by the licensee's Affiliates and Authorized Users is counted when determining utilisation of the Licensed Capacity.[2]

  3. Licensees may not use the Programs in an outsourcing or service bureau environment, or transfer, assign, sublicense, lease or rent them.[3]

  4. HCLSoftware may audit use of the Programs, including software logs, no more than once in any 12-month period with 15 calendar days' notice; unauthorised usage found is payable at HCLSoftware's then list price.[4]

  5. Audit rights survive for two years beyond the longer of the order's term licence, the relevant perpetual licence or the agreement; on termination, affected licences end except perpetual licences.[5]

    Licensing impact
    • HCLSoftware states that the acquired products are owned and sold only by HCLSoftware and authorised HCLSoftware resellers, and that licences must be purchased or renewed through HCLSoftware.[2]
    • IBM can no longer provide licences or pricing quotes for these products; customers with active IBM Enterprise License Agreements stay with IBM for the contract term while HCL provides support and works on renewing support and subscription.[2]
    • Existing IBM licences for AppScan on Cloud were to keep working through 2019 while HCL licence support was added, and existing subscriptions did not change.[2]
