- Partner Agreement s.1.14: "Managed Services" means MSP’s managed service offering in which MSP provides a Managed Customer with access to the Services along with implementation, billing and support services.

- MSP pays a monthly Net Seat Fee at pricing disclosed in writing, changeable on 30 days notice, billed monthly in arrears; Net Seat pricing applies only to Managed Services. MSP must deliver access directly, not through sub-distributors or OEMs; each Managed Customer must accept the 1Password Terms and sign a Customer Agreement with the MSP; MSP provides first-line support and must cooperate with transitions to another partner or to a direct account.
