The RealVNC End User License Agreement (EULA) is the agreement between RealVNC and anyone who downloads, installs or uses RealVNC software from realvnc.com, unless a specific EULA applies to that software.[1] The Legal page links the current English version, headed “Version April 2025”, with German, French, Spanish and Portuguese translations. Separate EULAs cover RealVNC software on Raspberry Pi and VNC Viewer Plus, and an Evaluation License Agreement covers the VNC SDK.[2] The agreement warns that RealVNC may modify it at any time. Installing an updated version of the software means accepting that the agreement applies to the update.[1]
Editions
The EULA applies to every plan, but treats two kinds of subscription differently.
- Paid Subscriptions grant usage rights in exchange for the Subscription Fee. The fee is set by the Concurrent Session Band the customer selects.[1]
- Free Subscriptions are “free to access subscriptions that include basic functionality”. They are for non-commercial use only, and the Software may be used only for private, non-commercial purposes.[1] The Help Center explains that a Lite subscription may not be used for anything aimed at commercial advantage or monetary compensation. Connecting to a computer at work is commercial; helping friends or family is not. RealVNC may terminate a Lite subscription it believes is used commercially.[5] Lite subscriptions get no technical support.[6] Catalog: Lite (Free Subscription) is for private, non-commercial use only; Lite subscriptions get no technical support.
A trial is a limited, non-exclusive licence for the period stated on the Website. Trial software is provided “as is”, without warranty or liability.[1] The pricing page offers a 14-day trial.[7]
Metrics
The EULA defines the units that RealVNC’s plans count:[1]
- Authorized User: the individual customer, or an employee or contractor the organization designates. Where applicable it also covers authorized staff of End Clients.
- Concurrent Session: one Authorized User connected to one Device at a given point in time. Three users connected to one Device are three sessions.
- Concurrent Session Band: the maximum number of Concurrent Sessions allowed at any point during the Subscription.
- Device: the computer or other device on which the Software is run, accessed, used, deployed or installed.
- License Capacity: the restrictions on the licence. These are the number of Authorized Users, the Concurrent Session Band, the permitted connection types on the Website, the number of Devices, and any other restriction on the Website or in writing.
Because License Capacity incorporates restrictions “set out on the Website”, the plan limits on the pricing page form part of the licence.[1][7] Catalog: License Capacity covers users, sessions, connection types and devices.
Counting / floors
Licence grant. Subject to paying the fees, RealVNC grants a non-exclusive, worldwide, non-transferable licence within License Capacity. The licence covers personal use, internal business use, and, under clause 5, Managed Services to End Clients.[1] The customer must not exceed the Concurrent Session Band at any time. It must also not sublicense or otherwise provide the Software to third parties, except Authorized Users and, where permitted, End Clients. The customer is responsible for ensuring the number of Authorized Users is not exceeded.[1] Catalog: Licence is for personal or internal business use, or authorized Managed Services; The Concurrent Session Band must not be exceeded.
Overuse. If access or use exceeds the Concurrent Session Band at any point, RealVNC may raise the Subscription Fees by written notice. The increase may apply retrospectively, pro rata, from the first time the band was exceeded.[1] Catalog: Excess sessions can be charged retrospectively.
Managed Services. Clause 5 applies only where the customer has explicit written agreement from RealVNC to deliver a Managed Service, or bought through one of RealVNC’s authorized third-party web portals. The customer is liable for End Clients’ acts and omissions as if they were its own, and indemnifies RealVNC for them.[1] Catalog: Managed Services; Managed Services need written authorization or an authorized portal purchase.
Virtualization & partitioning
The EULA has no virtualization clause. The Device definition covers any device on which the Software runs or is installed.[1] RealVNC’s trust-based counting of Virtual Mode instances is described in RealVNC offline licensing and on-prem deployment.
Cloud / BYOL
The EULA licenses both the downloadable software and the portal and back-end management functions. RealVNC may suspend access if use breaches the agreement or harms its services. During a suspension the customer still owes all Subscription Fees.[1]
Programs
Fees and payment
Unless agreed otherwise, Subscription Fees are due at the start of the Subscription and are paid online by credit or debit card.[1] Subscriptions are 12-month commitments billed annually, with no monthly payment.[7] RealVNC may increase fees on 30 days’ prior written notice before a new or renewed Subscription starts.[1] If a Reseller fails to pay RealVNC, the customer must pay the fees in full, even if it has already paid the Reseller.[1] Sums unpaid 14 days after the due date allow RealVNC to suspend its obligations and charge interest.[1] Catalog: Fee increases need 30 days' notice before a new or renewed Subscription; Customers remain liable if a Reseller does not pay RealVNC.
Renewal and termination
A subscription renews automatically for twelve months at the end of each period, unless the customer opts out through the Website or by email no later than 30 days before the period ends. RealVNC emails at least seven days before renewal fees fall due.[1] The Help Center gives the same 30-day deadline for Business usage customers and lets Personal usage customers disable auto-renew at any time.[3] The renewal price can be checked on the Billing page, and the Renew Now button appears only within 90 days of expiry.[4] Catalog: Subscriptions auto-renew for 12 months unless opted out 30 days before the end.
The customer may terminate at any time on 30 days’ written notice. Termination by either party does not entitle the customer to a refund for the unexpired period.[1] Either party may terminate immediately for an incurable breach, or one not cured within ten business days. On termination all licences end, outstanding fees fall due, and the customer must irretrievably delete the Software from all Customer Devices within 5 days and certify this in writing.[1] Catalog: Termination for convenience gives no refund; Software must be deleted within 5 days of termination.
Refunds and consumer rights
Under the purchasing terms on the Legal page, purchases on account must be settled within 14 days. Consumers buying as individuals may withdraw within fourteen working days of delivery. That right does not apply to software which has been downloaded, and all other refunds are at the discretion of RealVNC’s management.[2] The Help Center’s refund article points to these purchasing terms.[8] Catalog: Consumer right of withdrawal; Consumer withdrawal right excludes downloaded software.
Warranty and liability
RealVNC warrants that the Software will perform substantially in accordance with its documentation for 90 days from purchase. The remedy is replacement or a refund of the Subscription Fee.[1] RealVNC’s aggregate liability is limited to the Subscription Fees paid in the twelve months before the claim arose.[1]
Audits and compliance
On reasonable notice, RealVNC may require the customer to let an authorized employee, agent or representative of RealVNC audit the use of the Software and assess compliance with the agreement. If the audit shows underpayment, including exceeding the number of Authorized Users or End Clients, the customer pays an amount equal to the underpayment, calculated at the Subscription Fees, plus RealVNC’s reasonable costs of conducting the audit.[1] Unlike some vendors’ clauses, this one has no frequency limit and no underpayment threshold before audit costs shift to the customer. Customers should keep records of users, devices and peak concurrent sessions. Catalog: RealVNC may audit and recover underpayment plus audit costs.
Governing law. English law governs, with the exclusive jurisdiction of the English courts. Where the contracting entity is RealVNC LLC, disputes go to binding arbitration under the US Federal Arbitration Act, with a small-claims option.[1]
