Qlik Customer Agreement

The Qlik Customer Agreement is the master agreement that governs a customer’s access to and use of all Qlik products and services, both client-managed Software and Qlik Cloud subscriptions.[1] It is accepted by signing an Order Form or by downloading, installing, accessing or using a Qlik product, and it incorporates the Documentation, including the product descriptions published at qlik.com/product-terms.[1] The product descriptions define the metrics (Data for Analysis, Professional and Analyzer Users, Capacity Bands and others); the Agreement sets the contractual rules around them.[2] Qlik lists its agreements on its legal agreements page.[3]

The version discussed here carries the code 053124. The clauses on named-user reassignment, overage, renewal and audit are also summarised in Qlik licensing; this page adds the remaining clauses a licence manager needs and links the catalog rows.

Editions

The Agreement has no editions. It covers two families of Qlik Products (§2.18): Software, meaning generally available Qlik software in object code with updates provided under Support, and Qlik Cloud, meaning any subscription-based SaaS solution provided and managed by Qlik.[1] Early release, beta versions and technical previews are not Qlik Products.[1]

Metrics

The Agreement defines no metric. It limits use to “the scope, term and quantity limits purchased” (§3.1) and defers to the Documentation.[1] Authorized Users are individuals authorized by the customer and given credentials: employees, consultants, contractors and agents, and third parties the customer does business with only where the Documentation permits (§2.3).[1] See Qlik licensing for the metric rows.

Counting / floors

Scope of use (as of 2026-09-30). Section 3.1 grants a limited, non-exclusive, non-transferable and non-sublicensable right to use Qlik Products “solely for Customer’s internal business operations”, in line with the Documentation and within the purchased scope, term and quantity.[1]

No sharing or reassignment to exceed quantities (as of 2026-09-30). Section 3.4.1 forbids lending, leasing, sharing, time sharing or transferring Qlik Products, components or product keys, or letting third parties download or install Software. Section 3.4.3 forbids reassigning a named user licence, or letting several users share an entitlement, to exceed purchased quantities.[1] Catalog: Customer Agreement 3.4.3: no reassignment or sharing of named user entitlements to exceed quantities.

Overuse and payment (as of 2026-09-30). Fees are non-cancellable and non-refundable, and subscription fees are due for the full period even where instalments are allowed. An invoice not disputed in writing within 60 days is deemed approved. Use above purchased quantity limits is invoiced “monthly in arrears”.[1] For capacity-based Qlik Cloud products the Product Descriptions allow overage up to ten times capacity and waive overage charges for the first 6 months of an initial subscription.[2] Catalog: Overage charges waived for the first 6 months of an initial capacity-based subscription.

Virtualization & partitioning

The Agreement contains no virtualization or partitioning rules; core-based Qlik Sense rules are in the Software product descriptions summarised in Qlik licensing.

Cloud / BYOL

No MSP, ISV, OEM, PaaS or iPaaS use (as of 2026-09-30). Section 3.4.4 forbids using, offering, embedding, selling or exploiting Qlik Products in “any managed service provider (MSP) offering; independent software vendor (ISV) offering; OEM Offering, platform as a service or integration platform as a service (PaaS or iPaaS) offering; service bureau”, or offering standalone Qlik Products as a hosted service. An OEM Offering is use of Qlik Products to add features to a commercial product or service sold to a third party.[1] Such uses need a separate agreement with Qlik. Resellers (as of 2026-09-30). Where products are bought through an Authorized Reseller, payment terms follow the reseller agreement, but Qlik may suspend or terminate use if it does not receive the reseller’s payment or the reseller terminates the order. Administration of reseller-bought products may not be transferred without Qlik’s written consent (§3.11).[1]

Evaluations (as of 2026-09-30). Evaluation Products may be used “only” in a non-production environment for the period limited by the licence key or credentials. Content and configuration in a Qlik Cloud evaluation may be lost unless the customer buys a subscription or exports it, and Qlik’s liability for evaluations is capped at USD 100 (§10.4).[1] Catalog: Customer Agreement 10.4: evaluation products only in non-production.

Programs

Renewal (as of 2026-09-30). Unless an Order Form says otherwise, subscriptions start on the Delivery Date and renew automatically for terms equal to the initial period unless either party gives written notice of non-renewal at least 45 days before the end of the term. Subscriptions may not be cancelled in whole or in part during a term, and fees may rise to prevailing rates at renewal (§9.1).[1]

Termination and post-term use (as of 2026-09-30). Either party may terminate for a material breach not cured within 30 days (10 days for non-payment); Qlik may terminate immediately for a breach of the use restrictions in §3.4 (§9.2). On termination or expiry all rights end, including the right to use code or artifacts generated by Qlik Products, and the customer must uninstall, delete and destroy all copies. “If Customer uses Qlik Products following the end of a purchased subscription period, Customer shall be charged at the prevailing rates for such use” (§9.3).[1] Catalog: Customer Agreement 9.3: use after the subscription ends is charged at prevailing rates.

Change of control (as of 2026-09-30). The customer may not assign the Agreement without Qlik’s prior written consent, and “any change of control of Customer, whether by merger, sale of equity interests or otherwise, will constitute an assignment requiring the prior written consent of Qlik.” An assignment without consent is void and a material breach (§10.6).[1] Catalog: Customer Agreement 10.6: change of control is an assignment needing Qlik consent.

The subscription programs themselves are the catalog rows Qlik Cloud capacity-based subscription, Qlik Cloud user-based subscription (Qlik Sense Enterprise SaaS, Qlik Sense Business) and Qlik Sense Enterprise Client-Managed subscription.

Audits and compliance

Verification and audit (as of 2026-09-30). While the Agreement is in effect and for one year after it ends, Qlik may ask, no more than once per calendar year, for a self-audit; the customer must submit a written compliance statement within ten business days. Qlik may also audit use and deployment, itself or through an agent or accounting firm, and monitor use of Qlik Cloud. Audit requests are given at least 15 days before the audit date, and audits take place in business hours. If the customer is not in material compliance it bears the reasonable audit costs in addition to any fees or damages due (§10.1).[1] See Software license audit.

Suspension (as of 2026-09-30). Qlik may suspend access if required by law, for a breach of the Agreement or the Acceptable Use Policy, for use that disrupts Qlik Cloud, or for late payment; fees continue to accrue during suspension (§9.4).[1]

Out of scope

  • Liability caps, indemnities and warranties (sections 4 to 6).
  • Data processing, the Information Security Addendum and the Acceptable Use Policy.
  • Governing law by contracting entity (Table 1).
  • Qlik partner, OEM and reseller agreements.
