Progress Telerik and Kendo UI licensing

Progress Telerik and Kendo UI licensing covers the developer tool lines that Progress sells on telerik.com: the Telerik UI component libraries for .NET, the Kendo UI JavaScript libraries, Telerik Reporting and Report Server, Telerik Document Processing, JustMock, Test Studio and ThemeBuilder. They are sold alone or in the DevCraft UI, DevCraft Complete and DevCraft Ultimate bundles, which the EULA calls “DevTools Collections”.[1] All of them are governed by one DevTools EULA, which Progress publishes on a page for each product.[1][4]

The basic unit is the developer. The FAQ puts it plainly: “Each license allows one developer to work with the product.” With a bundle such as DevCraft Complete, every tool in the bundle is licensed to that one developer.[2] The licence covers the product only to the extent the developer is authorised for a DevTools Collection or an individual product: a JustMock-only licence permits only JustMock, while a DevCraft Complete licence permits everything in that collection.[1]

Editions

The pricing page sold three bundles by annual subscription per developer on the retrieval date:[3]

Individual products are also sold. The Kendo UI bundle of four JavaScript libraries was listed at USD 799, 899 or 1,299 per developer per year depending on the support level, and KendoReact at USD 649, 749 or 1,199.[3] Test Studio was listed as a “perpetual floating machine” licence: Web & Desktop at USD 2,499 and Ultimate at USD 3,499.[3]

The EULA sets the default licence type: “Perpetual or Subscription as set forth in the Order”. The exceptions are the Telerik and Kendo UI Accelerator and Progress ThemeBuilder, which are subscription only, and trial licences.[1]

Metrics

Licensed Developer

A Licensed Developer is “one of your employees or third-party consultants authorized to develop Your Integrated Products specifically for you using the Product Package”.[1] The FAQ separates three roles. Licensed developers use the software and each takes one seat. License managers “do not take up seats and have no access to product downloads and technical support”. The license holder buys the licence, is a developer and manager by default, and can give the seat to someone else.[2]

Report Server CAL User

Telerik Report Server is licensed by Domain and by Client Access License (CAL) User. A CAL User is an individual with a unique username and password for the Report Server, and “CAL Users are specific to the Domain to which they have been registered”.[1] The pricing page describes the DevCraft Ultimate entitlement as “one instance of Telerik Report Server with 15 Client Access Licenses (CALs)”. Additional CALs are sold in bundles of five.[3]

Test Studio machine

“The Test Studio Products are each licensed per machine.” Test Studio may be installed on several machines but may not be “activated nor running at the same time on more than one computer or virtual machine per license”. Several users may share the machine, one at a time.[1]

Counting / floors

Seats cap simultaneous development use. “At any given time, the number of Licensed Developers cannot exceed the number of seats that you have purchased”.[1] The product is “in use” on a computer when loaded into memory or installed on disk. Developers “may install the Product Package on multiple machines, so long as the Product Package is not being used simultaneously for development purposes at any given time by more Licensed Developers than you have seats”.[1] The FAQ says the same: one developer may install on a laptop and on home and work desktops, but may use the licence on only one machine at a time.[2]

Assignment is required. Each developer who uses the components at design time, for example in Visual Studio, must be assigned to a licence in the Telerik account. A developer is assigned automatically only when the buyer is also the only developer.[2]

Build and test are free of seats. A Developer License includes a testing and building licence. It covers retrieving source code, compiling, running automated tests, storing artifacts and publishing the customer’s applications, and “This testing and building license is not limited to a number of seats”.[1] QA staff and build agents therefore do not need seats, unless they modify or develop code with the products.

Licence keys. Products are activated with licence key files. Personal developer keys belong to a licensed developer. For CI/CD, Progress recommends deployment keys, each tied to one registered application.[2] Deployment keys do not replace seats: “Each developer must still have an assigned license and use their personal license key for local development.”[2] Keys expire at the end of the subscription. If no valid key is found, the build may log a warning or the UI may show a watermark.[2]

Upgrades and downgrades. A licence upgrade, for example from one product to a DevCraft bundle, replaces the earlier licence. It may add products to a seat, but “Licence Upgrades do not result in any duplication of licenses and do not increase the number of seats”.[1] A downgrade at renewal, from a bundle to a single product, changes only the scope of maintenance. “License Downgrades do not result in the termination of perpetual licenses granted under the Original License.”[1]

Report Server. One Licensed Instance may be installed on each Production Domain bought. Licensed Developers may also install instances on “up to two Development Domains”, each matching the Licensed Instance.[1] “The total number of CAL Users permitted to access any Domain must correspond to the maximum number of seats you have purchased for such Domain”.[1]

Native Blazor Report Viewer requires valid licences for both Telerik Reporting and Telerik UI for Blazor.[1]

Virtualization & partitioning

The developer metric does not depend on hardware. Telerik and Kendo UI licences “have no deployment limitations—they can be used for an unlimited number of applications spanning various servers and domains”.[2] Virtualization matters only for Test Studio. Its licence counts a running virtual machine as a machine, and moving a licence to another machine requires deactivating it on the first.[1] The optional Test Studio Licensing Server add-on may be installed on one Server only to manage activations, “and may not be used for production, testing, or for any other purposes”.[1]

Redistribution

The redistribution grant covers the UI/Kendo products and Telerik Reporting “in object code form (or, if JavaScript-based, in minified form) only as embedded in Your Integrated Products”, and only to Permitted End Users.[1] An Integrated Product must add substantial functionality and must not compete with the Telerik products.[1] Components may not be shipped as a standalone product or in a reusable form. End users may not use them for development “unless they also purchase a separate Developer License from us for each of the users”, and the customer must show a copyright notice.[1] This matters for software vendors that ship SDKs or extensible products. JustMock and Report Server may not be redistributed, nor may Report Designer as obtained with Report Server; Report Designer obtained with Telerik Reporting may be distributed only for use with Reporting embedded in an Integrated Product.[1]

Content management system, .NET, PHP, Java and JavaScript component vendors may not buy or use the products without Progress’s express permission.[1]

Programs

  • Support packages. During the Maintenance Period the customer gets major and minor Updates and the Lite, Priority or Ultimate support package bought.[1] For a subscription the Maintenance Period is the Subscription Term. For a perpetual licence it is the period of maintenance bought. Support for bundle products follows the bundle level and cannot be upgraded or downgraded.[1] Purchases include 12 months of updates and support.[2]
  • Auto Renewal Program. A perpetual licence holder may enrol so that maintenance renews every year. Subscription licences renew automatically “at the then-current Subscription License fees” unless written notice is given.[1] The FAQ adds that subscription holders are enrolled by default, that reminders are sent 90, 60, 30, 15 and 5 days before expiry, and that cancellation must be made at least five business days before the renewal charge.[2]
  • Old versions after an Update. Unlike other Progress agreements, the 90-day limit on running a replaced version does not apply. Telerik products may keep using the Replaced Product for the term of its original licence.[1]
  • Expired perpetual licences. “If you hold a perpetual license, your key remains valid for all product versions published before the expiration date, even after your support period ends.”[2]
  • Trial licences. Trials may not be used in end products or for commercial, productive or training purposes. A trial lasts 30 days, or 7 days for ThemeBuilder.[1]
  • Freemium Products. Free versions with limited functionality, such as KendoReact Free, are provided as is, without indemnity, and Progress’s liability for them is capped at USD 5.[1]
  • Source code. Where source code is provided, modifications made by the customer’s developers become Progress property and are licensed back to the customer. Source code may not be disclosed, and no refunds are available for licences that include source.[1]
  • Discounts. Progress offers a 10% discount to educational, government and non-profit organisations that buy directly. Refunds are made only by special request and not after source code has been downloaded.[2]

Test Studio subscriptions may be monthly, renewing until cancelled, or an annual commitment paid monthly. Cancelling an annual commitment early does not release the customer from the remaining payments.[1]

Audits and compliance

The common Progress audit clause applies: records of licences bought and used, delivery within five business days, list-price back-billing, and audit costs where the shortfall exceeds 5%.[1] There are also rules for the end of a subscription. The customer must uninstall the product and destroy all copies “not integrated into a live, functioning instance(s) of Your Integrated Product(s) already installed, implemented and deployed for your Permitted End Users”. It must also “run our audit tool and within 5 days from receipt of our instructions provide a complete usage audit report”.[1] Deployed applications may keep running, but further development, rebuilding or republishing needs a current licence. The FAQ notes that with an expired licence, “rebuilding or republishing it may be restricted”.[2]

For a licence position, compare the number of developers who use the products at design time with the seats per product or bundle in the Telerik account. Include contractors, who count as Licensed Developers. Build servers and end users do not count.

  • Fiddler products, which are not covered here.
  • Sitefinity, which includes Kendo UI for jQuery and Telerik UI for ASP.NET AJAX only for building Sitefinity websites (see MOVEit, WhatsUp Gold and Sitefinity licensing).
