Progress Software

Progress Software makes application development, data, digital experience, file transfer and infrastructure management software, including OpenEdge, Telerik, MOVEit, Sitefinity, Chef and WhatsUp Gold. Products are licensed under product-family EULAs as perpetual, term or subscription licences, measured by metrics such as named user, registered device, concurrent device or core.

  1. Progress publishes separate licence agreements per product family, including OpenEdge, Telerik/Kendo/DevCraft, MOVEit and WS_FTP, Sitefinity, DataDirect, WhatsUp Gold, Flowmon, Kemp and Chef.[1]

  2. Under the OpenEdge EULA, each product is licensed as a perpetual, term or subscription licence, as confirmed in the order or set as the product's default licence type.[2]

  3. For perpetual and term licences, first-year maintenance and support is required from delivery unless the order states otherwise; renewal is optional after that, and without it the customer gets no support or updates.[3]

  4. An OpenEdge Core License covers a single core on a single server; additional core licences are needed for every core the product runs on, including servers used for disaster recovery, load balancing, clustering, development, testing and reporting.[4]

  5. OpenEdge licence types also include Registered Device (a designated, countable device that cannot serve unknown users), Concurrent Device (a maximum number of simultaneous devices per server, not transferable between servers) and Access Agent licences.[5]

  6. The customer must keep records of licences purchased and in use, and Progress or a third party it appoints may audit those records and systems, on site or remotely, at Progress's expense after reasonable written notice.[6]
