Procore licensing is the way Procore, a construction management software company, sells access to its cloud platform. The customer does not buy named seats. The Procore pricing page says Procore charges “an upfront annual fee by product and based upon your Annual Construction Volume (ACV) - the aggregate dollar value of the construction work across your projects.”[1] Each Order identifies the Services, scope, quantity and charges, and a “Usage Metric” on the Order, the unit of measure multiplied by a quantity, sets the scope of access and the associated fees.[2] Because users are not the licence unit, the main compliance questions for a software asset manager concern which products are on the Order, what the Usage Metric and volume are, and what happens to usage above them.

Editions
Procore does not publish a price list or part numbers. Its product page lists capabilities, among them Project Management, Project Financials, Quality & Safety, Estimating, Bid Management, Analytics and Resource Tracking.[6] The pricing page says customers choose from a suite of products that each solve different business needs, and that product enhancements are delivered during the contract at no additional cost.[1]

Metrics
The metrics are few. Annual Construction Volume (ACV) is a pricing basis. The Usage Metric is the contract term for the unit of measure and quantity on the Order.[1][2] An Authorized User is “any individual or agent authorized by Customer to access or use the Services.”[2] The Procore pricing page states that the contract includes unlimited users “including not just your employees, but all other collaborators like clients, subcontractors, and vendors.”[1] The Field Productivity product is the stated exception, priced on FTE, a unit the pricing page does not define.[1] See ACV, Usage Metric, Authorized User and FTE.
Counting and floors
The agreement lets only Authorized Users access and use the Services, and the customer is responsible for their compliance.[2] It prohibits using or permitting access in a way that seeks to circumvent the Usage Metrics, making the Services available to third parties other than the Customer or Authorized Users, and reselling or including the Services in a service bureau or outsourcing offering.[2] Customers may designate Affiliates as Authorized Users, while an Affiliate that places its own Order gets its own, separate Usage Metrics unless the Order says otherwise.[2]
Quantity and volume floors are in the Order, not in the agreement. If the customer exceeds the Usage Metrics it pays Overages, invoiced at Procore’s standard rates without discount at the time of invoicing under the Subscription and Services Agreement; the Online Subscription Agreement says Overages are invoiced at then-current standard rates.[2][8]
Virtualization and partitioning
Procore is delivered as a service, so there are no installed-software rules, virtualization or partitioning metrics. The pricing page describes a cloud-based platform that avoids on-premise servers.[1]
Cloud and subscription terms
The Subscription Term follows the start and end dates on the Order, and renewals are Order-driven; if there are no active Orders, the Agreement terminates after 90 days.[2] For customers buying online, the subscription renews automatically for a period equal to the initial term unless either party gives notice at least ten days before the end, and one-time promotional pricing renews at then-current rates.[8] Fees are non-cancelable and fees paid are non-refundable, except as the agreement provides.[2] For 30 days after the final term, Procore makes Customer Data available for retrieval.[2]
The platform offers an availability objective of 99.9% per calendar month excluding Scheduled Downtime, and support by telephone, online chat, email or self-paced tutorials.[2] Customers can also buy through a Reseller, in which case pricing and payment terms are between the customer and the Reseller.[2]
Programs
Procore describes deal structures rather than named licence programs. In multi-year pools, contract volume is set for the term and can be consumed at any time during the period. Under volume opt-in, up-front pricing is set for additional volume that might be added mid-term. Under renewal rate protection, rates for future renewals are locked up front.[1] See Multi-year pools, Volume opt-in and Renewal rate protection. Free Services and Beta Services are separate and not “Services” under the agreements.[8][2]
Audit and verification
No more than once annually, Procore’s subscription management team may initiate a subscription review requiring written supplemental information to verify the Usage Metric; the customer provides the records within fifteen business days, or another agreed time frame.[2] Procore also states that it may review the customer’s use of the Subscription Services to verify compliance. Out of scope
