Procore API Terms and AI Terms

This article is about two sets of Procore terms outside the main subscription agreement: the API Terms of Use for developers building integrations, and the AI Terms for generative AI features and Agents. Subscription terms and pricing are in the other Procore articles. It is not legal advice.

Procore publishes two sets of terms that sit beside the Procore Subscription and Services Agreement. The API Terms of Use, headed “Effective: September 30, 2025”, govern the rights and responsibilities of developers who access Procore’s application programming interfaces, webhooks, endpoints and related materials. They are between Procore Technologies, Inc. and the developer, and they do not grant any right to use the Procore Services, which are governed by a separate agreement such as the Subscription & Services Agreement.[1] The Procore AI Terms, effective July 1, 2026, apply to generative artificial intelligence features, products or standalone offerings identified in the Subscription Services or Documentation, and supplement the customer’s existing agreement.[2] The overview is Procore licensing.

Editions

The API terms apply to the “APIs”, defined to include application programming interfaces, webhooks, endpoints, software development kits, sample code, command-line tools, developer accounts and developer tools, and other documentation and materials. An “Application” is any software, website, embedded experience, integration or other thing built using the APIs to interoperate with the Procore Services.[1] The AI Terms apply to “AI Services” as identified in the Subscription Services or Documentation.[2] See AI Services. Procore’s main agreement separately treats Third-Party Applications, including offerings made available through the API or App Marketplace, as not Procore Services.[3]

Metrics

Neither document defines a counted licence metric. The API licence is granted to the developer and is conditioned on credentials: Procore grants “a limited, non-exclusive, non-sublicensable, non-assignable, non-transferable, revocable license to access our APIs solely as necessary to develop, test, use, and support your Application with the Procore Services.”[1] Developer Credentials are Procore’s Confidential Information, may not be shared with third parties or embedded in open-source projects, and may be revoked or limited at any time without notice.[1] See API access.

The customer side remains the main agreement’s Usage Metric and Authorized Users. The API Terms state that use of the Procore Services requires each Customer to have a valid licence or subscription with Procore, and that the developer may not facilitate or encourage a Customer to violate its Procore Customer Agreement.[1] An integration therefore does not create an additional seat or user for the customer, but the customer’s account and its Usage Metric still govern what the integration can do.

Counting and floors

Procore may set and enforce limits on API access and use, for example numbers of calls, requests or rate limits, in its sole discretion and without prior notice or liability, and may monitor usage for quality, security and compliance.[1] The developer may not attempt to circumvent the limits, run load testing that increases request rates unless Procore authorizes it in writing, or request more than the minimum data or permissions needed for the Application’s intended functionality.[1] Procore reserves the right to charge fees for use of the APIs, but any fees “must be agreed to in writing by you and Procore”, so no API fee applies by default.[1]

Use rights and restrictions

API restrictions

Conditions on the licence include no copying, selling or sublicensing of the APIs or credentials, no derivative works, no reverse engineering, no competitive analysis, performance monitoring or benchmarking of the APIs or Procore Services, no use to replicate or compete with them, and no storage of Procore account passwords.[1]

No resale and no charging for Procore functionality

The API Terms do not give the right to distribute or resell the APIs or the Procore Services. A developer may not “directly or indirectly charge Customers for use of, or access to, the functionality of the Procore Services or APIs”, although it may charge a standard overall fee for its Applications in accordance with the terms.[1]

Commercial Distribution

A developer may not Commercially Distribute an Application unless authorized by a separate written agreement with Procore. “Commercially Distribute” covers any situation where a Customer could pay fees for the product, service or features, including a direct charge, a freemium model or a free Application that connects to a paid product or service. To do so the developer must enter into a partner or other agreement authorizing distribution via the Procore App Marketplace or otherwise, and comply with the Developer Policy.[1] The restrictions do not apply where the Application and any connected products were created for use only by a single third party.[1] See Free Services and Beta Services for the contrast with Procore’s own evaluation offerings.

Data use for commercial Applications

For commercially distributed Applications, the developer must obtain explicit authorization from the organization installing the Application, must limit the use and retention of API Data to the minimum necessary, and may not use API Data to train, re-train, fine-tune or benchmark any machine learning or artificial intelligence system, bulk export API Data except where an additional agreement allows it, or use data from one organization to benefit another organization or third party.[1]

Cloud and termination

The developer may terminate the API Agreement at any time by ceasing all use of the APIs and credentials. Procore may “without prior notice or liability to you, suspend or terminate the Agreement, any rights granted herein, and/or your license to the APIs or Developer Credentials, in our sole discretion for any reason”, after which all licences expire and the developer must stop using the APIs.[1] Procore may modify, deprecate or remove any part of the APIs at any time, with commercially reasonable efforts to give notice, and the developer is responsible for keeping its Application compatible with the then-current API version.[1] The API Terms are governed by the laws of California, with the federal or state courts for Los Angeles County as the venue, and the developer may not seek rescission, injunctive or equitable relief to enjoin the operation of the APIs.[1]

AI Terms

Input and Output

Customers and Authorized Users may submit text, prompts or data (“Input”) and receive generated content (“Output”). As between the parties, Input and Output are owned by the Customer: “Customer retains all right, title, and interest in its Input and Output.” Procore retains all right, title and interest in the AI Services.[2] Input and Output are Customer Data subject to the protections of the main agreement, and Procore remains responsible for its third-party AI subprocessors’ compliance with the AI Terms.[2]

Customer obligations

The Customer is responsible for using the AI Services in compliance with the Agreement and the Procore Acceptable Use Policy, validating Outputs, maintaining human oversight and controls for Output, and for all decisions made or not made based on Output. Neither the Customer nor its Authorized Users may use the AI Services or Output for any regulated activity except in compliance with applicable laws.[2]

Agents

Authorized Users may direct agents to take actions on the Customer’s behalf. “Agent actions are not Output.” The Customer is responsible for its and its Authorized Users’ use of Agents, for Agent actions and inactions and any Outputs, and for supervising them, including with respect to Third-Party Applications.[2] For a general treatment of this point see Generative AI licensing.

Disclaimer

Output and actions are generated by artificial intelligence, including technology from third-party subcontractors (“Third-Party AI”). Procore makes no warranty that the AI Services, Third-Party AI or Output will be accurate, complete, reliable, current or suitable, will not violate third-party rights or law, will meet the Customer’s requirements or will comply with industry standards. Output may not be unique or exclusive to the Customer or protectable under intellectual property laws. Procore may modify or discontinue the AI Services or Third-Party AI because of legal changes or changes in the availability of Third-Party AI, and disclaims liability for the Customer’s use of AI Services, Outputs and their interactions with Third-Party Applications.[2] In a conflict, the AI Terms control over the Agreement for the AI Services.[2]

Audit

The sections reviewed add no separate audit right to the main agreement. The API Terms allow Procore to monitor API usage for quality, security, product improvement and compliance, and the main agreement’s annual subscription review applies to the customer’s Usage Metric.[1][3]

Out of scope

This article does not cover the Developer Policy, the App Marketplace terms, the privacy and confidentiality sections of the API Terms, or the Acceptable Use Policy text, which the AI Terms incorporate by reference.[1][2]
