Milestone EULA and Milestone Care

The Milestone End-user License Agreement (EULA) is the agreement between the licensee and Milestone Systems A/S for “the Milestone product or utility, which may include associated software and hardware components, media, printed materials, online or electronic documentation and any updates or corrections”.[1] The version reviewed here is headed “EULA 20250425” and is published with XProtect 2025 R2. It combines general terms for all Milestone products with specific installation and use terms for each XProtect product, client and extension.[1] The licence owner and the accepted EULA can be viewed in the Management Client’s License Information window.[5] Milestone Care is the maintenance and support programme that sits alongside the perpetual licence.[4]

Editions

The EULA’s product-specific sections cover XProtect Corporate, Expert, Professional+ and Express+. They also cover the Smart Client, Web Client, Mobile client and Mobile server, and the Access, LPR, Management Server Failover and Hospital Assist extensions.[1]

Metrics

The EULA defines the device license rules in its section “License, Installation and Use Conditions and Restrictions”. Each product section ends by requiring that the product “may only be used with as many IP devices as you have acquired device licenses for”.[1] The counting rules are covered in XProtect device licences and counting. Milestone Care is also “based on the number of devices”.[2]

Grant and use rights

  • Licensed, not sold. “Note that all software parts of Product are licensed to you, not sold.” Licensing is not a lease, a sale or a transfer of intellectual property.[1] Catalog proof: Software licensed, not sold.
  • Perpetual. The EULA sets no term for paid licences. Milestone’s pricing page states that a purchased licence may be used “indefinitely, rather than for a subscription term”.[2] Catalog proof: XProtect licences are perpetual.
  • Affiliated Companies. For Corporate, Expert and Professional+, the licensee may let Affiliated Companies use the product. These are entities that control it, are controlled by it or are under common control, with control meaning ownership of more than fifty percent of the voting securities. The affiliates must submit to the EULA, and the licensee remains fully responsible for them.[1]
  • Who may operate. Each VMS product may be operated only by the licensee, its employees and people working for it, “including law enforcement authorities investigating incidents for you”. It “may therefore, for instance, not be operated or used in any way by customers of you or other third parties”, except affiliates and the permitted remote operation through Federated Architecture or Interconnect. The Corporate terms also limit use to surveillance of property the licensee or its affiliates own or control, or for which it holds the required permissions.[1] Hosting XProtect for another organisation therefore falls outside the standard grant. This is commentary on the cited clause. Catalog proof: XProtect may only be operated for the licensee.
  • Updates. By accepting the EULA, the user assigns “your right to accept EULAs of future product updates to your system administrator”, for example when XProtect Update Manager installs updates unattended.[1]
  • SQL Server Express. Installing Corporate, Expert, Professional+ or Express+ also means agreeing to Microsoft’s licence terms for SQL Server 2022 Express Edition.[1]
  • Prohibited and human-rights use. Use that violates human rights is a material breach “causing the whole license for the Product to lapse immediately without notice”. Milestone may also terminate where a human rights grievance is substantiated.[1]

Counting / floors

The EULA has no audit clause. Compliance is enforced through activation. Activating licences shares the number of used devices, device MAC addresses and the history of camera registrations and deletions with Milestone’s licensing system “to make sure the licenses are used according to the EULA”.[1] Licences cannot be granted until the end user’s business information has been provided, including through the channel partner, and Milestone has verified the licensee under its screening policy.[1] Catalog proof: Activation reports device data to Milestone for licence enforcement.

Copies, transfer and termination

  • Backup. “You may make as many copies of the Product as may be necessary for backup and archival purposes, subject to an obligation to reproduce all proprietary notices on such copies.”[1] Catalog proof: Backup and archival copies permitted.
  • Transfer. The EULA is non-transferable, “save that if there is any ownership interest transferred which includes the Milestone Product, you may permanently assign all of your rights for this Product to the transferee, provided the transferee agrees to the terms of this EULA.”[1] A licence can therefore move with a sold site or business, but not on its own. Catalog proof: Licence transferable only with an ownership transfer.
  • Return right. A buyer who does not accept the EULA may return the product within 30 days for a refund, unless the buyer or its Milestone dealer accepted the EULA before or as part of the purchase.[1]
  • Termination. Milestone may terminate for non-compliance or export-control reasons without refund. The licensee must then “immediately cease using the Product, destroy all copies of it, and certify such destruction in writing”.[1] Catalog proof: Termination requires destroying copies and certifying in writing.

Warranty, liability and law

Milestone does not warrant the product. A defect is “material” only if it affects the product’s functionality as a whole or prevents operation. If such a defect is documented within 90 days after purchase, Milestone will, at its discretion, deliver a new copy, correct the defect free of charge, or terminate and repay the licence fee.[1] Milestone indemnifies against third-party IP infringement, for patents only those granted in the US or EU at the date of purchase and only for standalone use.[1] Absent wilful misconduct or gross negligence, liability “shall be limited to the amount actually paid by you for the Product”. “This EULA and the contract between you and Milestone are governed by Danish law and the sole and proper forum for the settlement of disputes hereunder shall be the City Court of Copenhagen.”[1] Catalog proof: Material defects must be documented within 90 days; Liability limited to the amount paid; EULA governed by Danish law, Copenhagen City Court.

Virtualization & partitioning

The EULA allows the server components on as many computers as each variant permits, “running operating systems for which the Product was designed”. It contains no processor, core or virtual machine metric.[1]

Cloud / BYOL

“Milestone XProtect VMS products are also delivered as an Amazon Machine Image (“AMI”) under the bring-your-own-license model (“BYOL”)”. They are deployed with a CloudFormation script, which Milestone provides “as is” and for whose modifications it accepts no responsibility.[1] Catalog proof: AWS BYOL deployment; XProtect may be deployed on AWS under BYOL.

Milestone Care

Every purchase includes “A Milestone Care coverage”.[6] “Milestone Care is the name of the complete service and support program for XProtect products throughout their lifetime.” At the basic level it gives access to knowledge base articles, guides and tutorials.[4] Catalog proof: Milestone Care.

“Care plans are available monthly from 12 to 60-month terms and priced according to the number of devices.” Care licences “need to be renewed”. Base and extension licences can be used indefinitely, but “you need Care Plus to be able to keep the software up-to-date”.[2] Care Plus is mandatory for the first year of XProtect Corporate. Care Premium cannot be bought without Care Plus.[2] The EULA makes Smart Connect and Mobile Push Notification “conditioned by a valid Milestone Care Plus service contract”.[1] Care expiry dates appear in the Installed Products table of the License Information window, and licences must be activated manually after buying or renewing Care.[5][7] Catalog proof: Milestone Care Plus; Milestone Care Premium; Care Plus trade-in; Care plans run 12 to 60 months, priced per device; Care Plus mandatory in the first year of XProtect Corporate; Care Plus gives 100% trade-in credit on variant upgrades; Care Premium response times; Smart Connect and push notifications require Care Plus.

The retrieved documents do not say whether a lapsed Care Plus subscription can be reinstated, or on what terms. That question belongs in the partner quotation.
