The Lucid Software Inc. Terms of Service (the Terms) are the online agreement behind Lucidchart, Lucidspark, the Lucid Suite and airfocus. They are accepted by clicking a button during registration, by using a Service or Website, or by paying an order form, statement of work or invoice that references them.[1] The document was last updated on 2026-07-01 and is organised in 23 numbered sections.[1] This article explains the sections that affect how many licences a customer needs, how long it is committed to them, what it pays and how it can leave. Who is the contracting party
The Terms are issued by Lucid Software Inc. of South Jordan, Utah, “itself or through its wholly-owned subsidiary airfocus GmbH” of Hamburg.[1] The “Websites” the Terms cover include lucid.co, community.lucid.co, help.lucid.co, training.lucid.co and airfocus.com.[1] A person who accepts the Terms on behalf of an organization represents that they can bind it, and the organization becomes responsible for each of its Users complying.[1]
Lucid distinguishes three types of User: Site Visitors, Free Users on a free or trial version, and Subscribers on a paid plan.[1] Affiliates of an entity that buys a Multi-User Plan may use the purchased Services as Users on the account, or may enter their own Order, which creates a separate agreement that incorporates the Terms.[1] Where a customer buys through a reseller, the Terms say that a customer who buys through a procurement agent remains liable for the fees and other obligations, and Lucid’s channel documentation says a reseller’s customer is invited by Lucid directly to the software.[1][2]
The licence grant
Section 3.1 provides that Services are supplied on a subscription basis. Subject to the Terms, the Documentation and the Order, the customer and each User may access and use the Services during the Subscription Term “solely for your internal business or personal purposes”.[1] The Subscription Term runs from the earliest start date to the latest end date listed in an Order.[1]
Several points bear on counting:
- Named users. User subscriptions are for named individuals and cannot be shared or used by more than one individual at a time. They may be reassigned to new Users who replace individuals who no longer use the Subscription Service.[1]
- Adding users. Additional Subscription Services or paid Users may be added during a term at the then-current unit price, with fees prorated for the rest of the term.[1]
- Features. The Subscription Services include the features of the tier and add-ons selected. Plans may change over time but will not be materially degraded in the middle of a term. If a customer upgrades to a higher paid tier mid-term, Lucid credits the remaining balance of the earlier payment to the new tier.[1]
- Optional AI. Use of AI products and features is optional and subject to the separate AI Terms.[1][3]
- Non-Lucid applications. Third-party applications that interoperate with a Service are not part of the Services, and their purchase and use is governed by the agreement with the third party.[1]
Use restrictions
Section 4.4 lists the Use Restrictions. Relevant to licence scope, a customer may not license, sublicense, sell, resell, rent, lease, transfer, distribute, provide access to or commercially exploit the Services or Deliverables, or make them available to a third party except as expressly authorized.[1] Customers also may not use the Services to develop a tool that substantially replicates or competes with a Lucid offering, to determine whether Lucid assets are within the scope of a patent, or to divert Lucid customers to a competing product.[1] Access by automated means such as scripts or web crawlers, other than Lucid’s publicly supported interfaces, is also restricted.[1]
Section 4.3 states that the Subscription Services are not designed or intended to store, process or handle Protected Information, defined to include data subject to PCI DSS, HIPAA, GLBA, CJIS Security Policy and similar rules, and that Lucid does not add protections based on the type of data submitted.[1] Organizations that need these protections should read the Enterprise add-ons article and their own Order.
Multi-User Plans and account control
The Terms define a Multi-User Plan, such as an Enterprise account maintained by an employer. On such a plan, content a User creates is under the control of the account owner and admins and is considered owned by the person or entity controlling the account. The owner or admins may downgrade a User, remove them or permanently delete them or their content without prior consent.[1]
Section 10.3 goes further for existing accounts. If the domain of the email address on a Lucid account is owned by an organization and an authorized representative of that organization wants to establish a Multi-User Plan and add the User, the existing account’s name, email address and content become accessible to the organization, and the account may be added to the plan without prior consent. Remaining credit may be applied to the Multi-User Plan.[1] This is the contractual basis for domain control, and it matters for shadow IT: personal Free or Individual accounts created with a corporate address can be absorbed into an organization’s plan.
Each account has an account owner or admin tied to an email address. Lucid relies on communications from the owner and admins and may transfer ownership using its internal verification methods if the current owner does not respond.[1] Admin roles are described in the help centre.[4]
Renewal, notice and cancellation
Section 3.3 sets out automatic renewal. After each Subscription Term the Subscription Service renews with the current products and number of subscriptions for the same period, such as 12 months for an annual plan or one month for a monthly plan, unless a party cancels at least 30 days before the end of the term for a Multi-User Plan, before the end of the term for an individual or monthly paid account, or before a free trial converts to a paid plan.[1] Lucid may invoice or charge the payment method at the start of each new term at the products, quantities and prices then in effect, and an account owner or admin may review products, subscription levels, number of Users and term in account settings.[1]
Section 15.2 repeats the notice window for anyone who wants to cancel auto-renewal, downgrade a tier or products, reduce the quantity of User subscriptions for an upcoming renewal or terminate a paid subscription. Notice goes to support@lucid.co or through account settings where available, and Lucid provides no refunds or credits for partial Subscription Terms.[1] The help centre adds that cancellations carry a no-refund policy and that a plan with several Lucid products must be cancelled product by product.[5]
Either party may terminate for uncured material breach (10 days after written notice), insolvency or legal requirement. Lucid, acting reasonably, may also terminate access to protect its legitimate interests on 30 days’ written notice with a pro rata refund of prepaid unused fees.[1] Lucid may suspend access where undisputed amounts are past due or where use creates a security vulnerability, may disrupt others or breaches the Use Restrictions, but will not suspend while a charge is reasonably and in good faith disputed.[1] On cancellation of a Multi-User Plan, Users may be automatically downgraded to free accounts and their content stays there until the accounts are closed.[1]
Billing
Lucid bills in advance on the selected frequency and may charge a card or other payment method for fees when due.[1] Unless an Order says otherwise, invoices are payable 30 days after the invoice date, and a failed non-invoice payment that is not fixed within 10 days leads Lucid to invoice the remaining Subscription Term with payment due on receipt.[1] Section 12.3 provides that fees are non-cancellable and non-refundable and that products and quantities cannot be decreased during a term.[1]
Section 12.4 allows Lucid to modify pricing for renewal periods on written notice to the customer or an account admin; where the renewal tier or unit count is equal to or greater than the one up for renewal, notice is given before the cancellation or subscription change deadline. A customer that does not accept a change can elect not to renew.[1] Billing disputes must be notified in writing within 30 days of discovery of an error, and Lucid may charge a late fee of 1.5 percent per month, or the legal maximum if lower, on undisputed past due amounts.[1] Amounts are exclusive of sales or use taxes and are paid in the currency on the pricing page, in the Order, or in US dollars.[1] The Lucid help centre describes billing at midnight local time on the last day of the subscription or the first day of the renewal.[6]
Free trials and beta services
Free and beta services, including trials, are provided “AS-IS” and Lucid may end them at any time, which can include deleting content.[1] For a trial of a non-airfocus product, the first payment is charged immediately after the trial ends; for an airfocus trial, the account is disabled at the end of the trial unless a paid subscription is bought.[1] The Lucidchart plan page states that its trial lasts seven days.[7]
Changes, disputes and governing law
Lucid may change the Terms and will post a new copy at lucid.co/tos. Free accounts accept changes by continued use, while a paid account is bound by the new Terms on renewal or at the start of the next annual period listed on the Order.[1] The Terms, together with any applicable Order and the documents they refer to, are the entire agreement and supersede earlier understandings.[1] Disputes are subject to a cooperative resolution step and then binding JAMS arbitration in Salt Lake City, Utah, with a class action waiver, and the Terms are governed by Utah law.[1] Intellectual property disputes and requests for injunctive relief are excluded from arbitration and may go to courts in Salt Lake County or the District of Utah.[1] Section 7.3 provides that Lucid’s Data Processing Addendum governs personal data processing for Enterprise-SKU customers on a Multi-User Plan.[1]
What the Terms do not contain
The Terms define no audit or certification right for Lucid, no true-up mechanism and no list of metrics beyond named Users and the products on an Order. The counting rules for Team and Enterprise licences sit in the help centre and the admin panel, so a licence review has to combine the Order, these Terms and the current help articles. That is why the Order and quote should be kept with the exported licence totals from the admin panel at each renewal.[1][8]
