Kinaxis subscription contracts and term licences

This article is about the contract structure behind Kinaxis subscriptions: the SaaS Agreement and Order Form, subscription terms and renewal, on-premise subscription term licences, and how Kinaxis reports recurring revenue. It is not about Maestro product features or about the Kinaxis website terms.

On This Page

Kinaxis subscription contracts are the agreements under which customers use Maestro, formerly RapidResponse. Kinaxis does not publish its SaaS Agreement. What it publishes is a description of the contract set on its Trust Center, a standard Data Processing Agreement, website terms that exclude the SaaS offerings, and financial filings that describe how subscriptions are priced, how long they run and how revenue from them is reported. This article collects those statements and marks which are current and which are historical. Two of the sources are Kinaxis filings from 2018. They are the most detailed public description of the subscription model and they are cited here as historical, not as the present terms.

The contract set

The Kinaxis Trust Center says Kinaxis uses “a focused set of agreements designed for enterprise customers”. The framework has three parts. A Non-Disclosure Agreement covers early-stage discussions and documentation requests. A SaaS Agreement governs access to and use of the Maestro platform. A Professional Services Agreement covers consulting and implementation work.[1]

The Trust Center adds that the SaaS Agreement “is supported by an Order Form and includes our Support Guide, Security Guide, availability SLA, and Data Processing Agreement”, and that Statements of Work issued under the Professional Services Agreement define specific project details.[1] For a licence manager this gives a document hierarchy, which can be summarised as follows.

Document Role according to Kinaxis Public?
SaaS Agreement Governs access to and use of Maestro[1] No
Order Form Supports the SaaS Agreement;[1] the DPA also refers to the applicable order form[7] No
Support Guide Included in the SaaS Agreement[1] No
Security Guide Included in the SaaS Agreement; the DPA refers to it as the Security and Infrastructure Guide[7] No
Availability SLA Included in the SaaS Agreement[1] No
Data Processing Agreement Included in the SaaS Agreement Yes[7]
Professional Services Agreement and SOWs Consulting and implementation[1] No

The Trust Center also states that its own content “is not intended to create any contractual commitments or warranties” and that the signed agreement governs.[1] Statements on Trust Center pages, including those about AI and hosting, therefore do not replace the contract.

The DPA is written to be incorporated into each written agreement between Kinaxis and the customer for software as a service and related professional and implementation services, which it calls the Main Agreement, and it provides that where it conflicts with the Main Agreement the DPA governs.[7] Customers may include Affiliates that have executed order forms or statements of work.[7] The website terms of use, by contrast, state that the website does not include the Kinaxis software-as-a-service offerings, and that additional terms for products and services control in a conflict.[8]

Subscription model and pricing basis

A Kinaxis annual information form dated 2018-03-26 states that Kinaxis typically enters into organization-wide subscription agreements, with pricing based on the number of end users in the customer’s organization and on the number of applications, sites and environments requested.[3] A management’s discussion dated 2018-08-02 gives a similar list, saying that the fee generally depends on the size of the customer, the number of applications deployed, the number of users and the number of licensed manufacturing, distribution and inventory sites.[2] The catalogue records these in the Organization-wide subscription agreement program and the five metric rows linked in the infobox.

“Organization-wide” means that the agreement is sized to the customer organization, not to a count of installed devices. The filings do not say whether the user count is a ceiling enforced by the system, a pricing tier or a true-up measure, and no Kinaxis document published on its website describes a true-up. Readers who need that answer have to find it in the Order Form. See true-up for the general concept.

Term, billing and renewal

The 2018 annual information form states that subscription sales are based on a monthly subscription fee that is typically prepaid on a yearly basis, under agreements that usually have a fixed term of up to five years.[3] The 2018 management’s discussion says agreements with customers are typically two to five years in length.[2] The same annual information form notes that customers have no obligation to renew subscriptions after a term, that subscription revenue is recognized over a contractual term typically between two and five years, and that an industry movement toward shorter licence terms could lead to more volatility in recurring revenue.[3]

No public document gives renewal price caps, uplift mechanisms, notice periods or auto-renewal terms. Those terms are set by the SaaS Agreement and Order Form. The Kinaxis definition of Annual Recurring Revenue states an assumption that customers renew their commitments as they come up for renewal “unless such renewal is known to be unlikely”, which describes how Kinaxis counts the contracts and not a customer right.[4]

On-premise subscription term licences

Most Maestro customers use the cloud-delivered product. The 2018 management’s discussion says that certain customers, including some long-term customers who converted to the subscription model several years earlier, license the subscription product on an on-premise basis.[2] It adds that the contracts are typically structured as for cloud customers, with contracted, recurring annual payments, but that under IFRS 15 the deemed software component for the term is recognized as subscription term licence revenue at the start of the term while the maintenance and support component is recognized over the term.[2] The current remaining performance obligations show how small this category now is: at 2026-06-30, SaaS accounted for USD 940.3 million of USD 983.5 million, maintenance and support for USD 37.6 million and subscription term licences for USD 5.6 million.[4] The catalogue row is On-premise subscription term licence.

For a licensee, the accounting split has one practical consequence: an on-premise term licence is a fixed-term right whose software component is not renewed automatically. No public document describes installation rights, copy limits or what happens at expiry beyond the general statement that Kinaxis licenses its software under agreements that prohibit reverse engineering, limit the use of software copies and restrict access to source code.[3]

Reading Kinaxis revenue disclosures

Kinaxis reports Annual Recurring Revenue as the total annualized value of recurring subscription amounts, ultimately recognized as SaaS, subscription term licence, and maintenance and support revenue, across all subscription contracts at a point in time. It excludes one-time fees such as non-recurring professional services.[4] Reported figures, which describe the whole customer base and not any one contract, were USD 433 million at 2025-12-31, USD 447 million at 2026-03-31 and USD 465.6 million at 2026-06-30.[6][5][4] The scheduled remaining performance obligations at 2026-06-30 were USD 222.8 million for the rest of 2026, USD 367.4 million for 2027 and USD 393.4 million for 2028 and later.[4] Those figures show that contracted terms extend over several years, consistent with the two-to-five-year range stated in 2018, but they do not show any individual customer’s term.

Professional services contracts

Implementation and consulting are contracted separately under the Professional Services Agreement, with a Statement of Work for each project.[1] Kinaxis describes implementation services including the Maestro Agile Implementation Methodology, RapidStart, sustainment and rollout services.[9] Because ARR excludes one-time fees, services spend should be tracked separately from the subscription commitment.[4]

Audits and compliance

The only audit right in the public documents is the customer’s. The DPA allows the customer, or an agreed third party, to verify Kinaxis compliance with its technical and organizational measures not more than once a year under an agreed audit plan, and lets Kinaxis rely on third-party audit reports.[7] No public Kinaxis document describes a licence compliance audit or a usage report. See software license audit.
