Grammarly Terms of Service and Customer Business Agreement

This article is about the two contracts that govern Grammarly: the Terms of Service for individual and team plans, and the Customer Business Agreement for enterprise-tier orders, both effective 2025-10-29, plus the Acceptable Use Policy. Grammarly’s licence terms sit in two documents. The Terms of Service (the Terms) are an agreement between Superhuman Platform Inc., formerly known as Grammarly, Inc., and the individual or Entity using the service. They do not apply to the “enterprise-tier products and services” sold through the enterprise sales team, for which the governing document is the Customer Business Agreement (the CBA).[1] Both documents reviewed here carry an effective date of October 29, 2025.[1][2] The Acceptable Use Policy (AUP), also effective 2025-10-29, applies to both.[3]

Terms of Service

Grant and restrictions

The Terms grant a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services and, where needed, to install software provided by Superhuman. The Services are provided on a subscription basis and are not sold, and an Entity must use them only for internal business purposes.[1] The restrictions bar reverse engineering, providing, selling, reselling, transferring, sublicensing, lending, distributing or renting the Services or allowing others to use them, circumventing technical limits, and violating the AUP.[1]

Accounts and Organizations

Credentials are unique to the user and must not be shared with other persons, entities or end users except as the Terms permit.[1] A person who opens an account with an employer, school or similar group email address is subject to that Organization’s control. The Organization may access, view, restrict, merge or terminate the account, and if the Organization later buys a subscription, Superhuman may merge the individual account into the Organization’s account at its request.[1] A person who creates a Multi-User Account is responsible for ensuring the end users comply with the Terms.[1]

Billing, renewal and cancellation

  • Billing in advance. Paid Subscriptions are billed in advance on a recurring monthly or annual basis according to the selected plan, and billing starts on the day access is given even if the service is not yet configured.[1]
  • Automatic renewal. A paid subscription renews for periods of the same duration at Superhuman’s then-current fees unless the customer cancels or declines to renew.[1]
  • Fee changes. Superhuman may change fees with advance notice, and changes apply from the next Billing Cycle.[1] Stated fees exclude taxes.[1]
  • Cancellation. The customer may cancel at any time; paid features continue to the end of the current Billing Cycle and the account then converts to a Free Subscription.[1][5]
  • No refunds. To the extent the law allows, payments are non-refundable and payment obligations non-cancelable, with no refunds or credits for partially used periods or unused consumption or capacity.[1]
  • Late payment. Fees overdue by 30 days or more allow Superhuman to limit functionality, suspend service or convert the paid subscription to Free until paid.[1]
  • Inactivity. A Free Subscription not accessed for at least 12 consecutive months can be suspended or terminated after notice.[1]

Generative AI features

Depending on the plan, users may have limits on generative AI features; if they exceed them Superhuman may require the purchase of additional capacity or units, which are tied to the then-current subscription, are not transferable to another account and are not refunded on expiry or termination.[1] Inputs and Outputs are the user’s User Content, and generative AI features must not be used to develop foundation or large language models that compete with the Services.[1] See the AI limits article for the per-plan allowances.

Beta Services and integrations

Beta Services may be offered, labelled as alpha, beta or early access; Superhuman has no obligation to support them and no liability arising from them.[1] Third-party services and Superhuman Marketplace Enhancements are governed by their own terms, and the Marketplace and Developer Terms apply to purchases or builds there.[1] See Beta Services.

Liability and disputes

Total aggregate liability is capped at the fees paid in the 12 months before the event, or USD 100 for a Free Subscription. Disputes go to mandatory individual arbitration after a 60-day informal period, unless the customer opts out within 30 days or is in the European Economic Area or another country that does not allow the clause. The Terms are governed by California law and U.S. federal law, with exceptions for small claims court.[1]

Customer Business Agreement

The CBA governs the access of a customer that has entered into an Order referencing it.[2]

  • Right to use. During the Subscription Term and subject to the Order, Superhuman grants the right to access and use the Services solely for internal business purposes. Affiliates may use Services the customer purchased, but the customer may not resell access to Affiliates without written consent.[2]
  • End User accounts. The customer may create End User accounts in the numbers and types stated in the Order. Each account must be designated for one individual only, and may be moved to a new individual when the previous one no longer needs access.[2]
  • Resellers. If the customer buys through an authorized reseller, the CBA acts as the end user licence agreement, Orders are executed with the reseller and the CBA payment terms do not apply.[2]
  • Payment. Fees are paid in US dollars unless the Order says otherwise, are non-cancellable and non-refundable except as required by law or stated, and are payable within 30 days of invoice if the Order is silent. Late payments carry a service charge of the lesser of 1.5 percent per month or the legal maximum.[2]
  • Renewal and notice. Unless the Order says otherwise the subscription renews for an equal term at Superhuman’s then-current rates, Superhuman gives at least 30 days’ notice of fee changes before renewal, and either party may end an Order at term end with at least 30 days’ written notice.[2]
  • Termination effect. On termination Superhuman may, unless the customer has asked for data return or destruction, delete the End User accounts or downgrade them to a lower tier.[2]
  • Data and AI. Superhuman and its Affiliates will not use Customer Data to train generative AI models without the customer’s prior written consent. HIPAA Data may not be submitted without a business associate agreement.[2]
  • Order of precedence and law. The Order, then the AUP, the DPA and the Agreement control in that order, and the CBA is governed by California law apart from its arbitration clause.[2]

Acceptable Use Policy

The AUP bars probing or circumventing the services, deriving source code or building a competitive product, scraping or creating accounts in bulk, and abusing billing mechanics including free accounts, trials and betas. It also sets maximum checks of 300 Docs documents or 150,000 words in 30 days and 100 documents or 50,000 words in 24 hours, applied per end user for Business and Education enterprise accounts.[3] See Document and word check limit.

Practical effects for licence managers

Neither document reviewed contains a clause that lets Superhuman audit installed copies. Compliance is controlled through seat counts and the admin console: seats can be added by admins and true-up billing allows overshoot with later payment.[4][7] Sales-purchased subscriptions have the same terms but change seats through the Customer Success Manager.[4] Some admin features, such as access to the Editor and docs with agents, can be managed only on Sales-purchased plans.[6]

Out of scope

This article does not analyse the Privacy Policy or the Data Privacy Addendum, nor the Marketplace and Developer Terms, or any negotiated amendment to an Order.
