The Cegid SaaS general terms are the master contract for every Cegid service delivered online. Cegid describes in the preamble that it markets “des fonctionnalités applicatives accessibles en ligne dont elle est propriétaire”, as well as functions designed by third parties, and that these are “des services standards” meant to meet the needs of most customers.[1] The document is published on cegid.com/fr/cgv alongside product booklets and prerequisites.[2] The text carries no date, so an effective date cannot be stated. Catalog rows for this document therefore have no effective date.
Contract documents and precedence
The contract is made up of the order form (Bon de Commande), the service booklet (Livret de Services), the reversibility annex, the general terms, the security assurance plan, the technical prerequisites and the personal-data annex.[1] The booklet and the reversibility annex prevail over the general terms, and the general terms prevail over the other annexes. Acceptance happens by electronic signature of the order form, and the terms prevail over the customer’s own purchasing conditions.[1]
Cegid may amend the terms at any time; the customer is expected to check the website, may refuse within two months by registered letter, and then loses access after 15 days with a refund of prepaid sums for the period not delivered. Continued use after two months counts as acceptance.[1] Booklet changes follow a separate path: they bind the customer after 30 days unless the customer terminates under the booklet-change clause, which applies when changes significantly reduce availability, backup or support commitments.[1] Catalog proof: Cegid may amend the general terms; the customer has two months to refuse.
The access right
In return for the subscription, Cegid grants the customer “un droit d’accès au Service non exclusif, personnel, pour le Territoire, non transférable et non cessible”, except on assignment of the contract.[1] The right is limited, depending on the offer, by:
- the number of named users, meaning users with a personal identifier and password;
- the number of logical or physical systems, such as point of sale, tablet or mobile;
- any other unité d’œuvre, expressed as quantities, thresholds or ceilings,
as set in the order form and, where applicable, the booklet.[1] Catalog proof: SaaS access right is personal, non-transferable and limited by units, Named users are persons with a personal identifier and password.
For some offers the customer may raise the maximum number of named users or systems, or the thresholds, itself through the Portail or the service. Invoices then reflect the increase at the tariff in force when it is made.[1] Access may also involve installing an executable on the user’s terminal. The customer answers for every access by its users “y compris s’ils interviennent sans autorisation, hors fonction ou à des fins étrangères à leurs attributions”.[1] See Customer answers for all access by its Users.
Restrictions
The customer must not reverse engineer the service to build a competing product, copy its functions or graphic attributes, make the service available to third parties for payment or free of charge except as the contract allows, or disrupt or attempt unauthorised access to it. Use must follow the documentation and be for the customer’s professional needs only. The customer must also name at least one SaaS Administrator as Cegid’s contact and keep its workstations in line with the technical prerequisites.[1] If the customer breaches these duties, Cegid may suspend access for the duration of the breach or terminate. See The service may not be made available to third parties.
Affiliates
A Filiale is a company controlled by the customer, controlling it or under common control as defined by article L.233-3 of the Code de commerce. Entities with an activity competing with Cegid, or controlled by or controlling a competitor, are expressly excluded.[1] Affiliates may benefit from the service on the same conditions, under the customer’s responsibility. The customer must give them the contract text, guarantees their compliance, and Cegid may claim damages directly from the customer without first suing the Affiliate. A company that ceases to meet the definition loses access “immédiatement et automatiquement” and needs its own SaaS contract.[1] For a group that divests subsidiaries, this means the entitlement must be reviewed on each reorganisation. See An entity that stops being an Affiliate loses access at once and Competitors of Cegid are never Affiliates.
Term, renewal and exit
The contract takes effect on the date on the order form and ends 36 months after Cegid delivers the access codes, called the Période Initiale. It then renews tacitly for 12-month Périodes de Prorogation. A party who does not wish to renew must notify the other, through the Portail or registered letter, at least six months before the end of the current period.[1] Activating an optional extra service during the term does not change the contract duration. See SaaS term is 36 months then 12-month tacit renewals with six months notice.
The customer “n’est en aucun cas autorisé à mettre fin au Contrat pour convenance”. If it does, it owes within 30 days the whole of the instalments still to be invoiced plus an indemnity of 10% of those sums including VAT.[1] Termination for breach is possible for either side after a formal notice with one month to comply and a mandatory amicable-settlement step. If Cegid terminates for the customer’s breach, the customer owes all the instalments remaining until the normal term.[1] The customer can terminate for Cegid’s breach of its core duties, including failure to meet the booklet availability rate for three consecutive months. See No termination for convenience during the term.
Reversibility
An annex applies the EU Data Act (chapter VI, articles 23 to 31) when the customer moves to another provider or to on-premise infrastructure, or erases its data at term. The customer must notify by registered letter at least four months before the term, Cegid starts the process within two months, the transitional period lasts up to 30 days (up to seven months if Cegid explains a technical infeasibility) and a data retrieval period of up to 30 days follows. Cegid “pourra facturer des Frais de Changement de Fournisseur réduits jusqu’au 12 janvier 2027.”[1] Outside this annex, on termination the customer must retrieve its data or request a copy of the last backup, which is a chargeable service. See Data Act switching: reduced switching charges until 2027-01-12.
Pricing and billing
Prices are in the order form, exclusive of VAT. The service and third-party online services are invoiced annually in advance on calendar periods, with first and last invoices pro rated.[1] Payment is by direct debit at 30 days from invoice date; late payment carries interest at three times the legal rate, never below 5% a year, plus a flat recovery indemnity of 40 euros, and Cegid may suspend the service 15 days after a formal notice.[1] See SaaS is invoiced annually in advance on calendar periods.
Indexation and revision
Each anniversary, prices are revised by the Syntec index (Prix = P0 x indice 2 / indice 1), first billed on 1 January after signature. The increase can never be below 3% per year.[1] Separately, if Cegid’s costs rise faster, it may revise prices during the Initial Period by up to 8% of the price concerned twice per calendar year and per ordered item. In renewal periods there is no 8% cap, but a customer who refuses the increase may terminate within 30 days of the invoice and keep the previous tariff for six months. See Prices are indexed on Syntec with a floor of 3% a year and Additional cost-based price revision up to 8% twice a year.
Overage
Unless the order form or the booklet says otherwise, “tout dépassement des seuils d’accès ou d’utilisation du Service” is billed at the tariff in force plus 50%, together with a regularisation invoice covering all periods since the excess began.[1] Booklets frequently override this, so each product must be checked: the retail, Cegid Loop and DSN Link booklets provide for a revision of the subscription price at the tariff in force, and the expense booklet applies 40%. See Overage is billed at tariff plus 50% with back-billing and Increases of users or thresholds are invoiced at the tariff in force.
Third-party online services
A “Service en ligne tiers” is delivered under the publisher’s own terms (the Convention), which the customer concludes with that publisher and which govern access, data protection, territory, intellectual property, termination, liability and jurisdiction. From the Cegid terms only the clauses on duration, price setting and revision, invoicing and payment apply, plus a third-party booklet.[1] See Third-party online services follow the publisher’s terms.
Data, security and liability
Cegid acts as processor of personal data, keeps customer data in the European Union unless the booklet says otherwise, and may only transfer personal data outside the EU or EEA with Article 46 GDPR safeguards. The customer may audit Cegid on site once during the Initial Period and then once every three years, with 30 days’ notice, a maximum of two working days charged to the customer, and never in June or December.[1] Sub-processors are listed on a Cegid page and the customer must register email addresses to be notified of changes, with a 10 working day objection window.
Cegid’s liability is an obligation of means, limited to direct and foreseeable damage and capped at the price excluding VAT of the service concerned, invoiced or to be invoiced in the 12 months before the event. Claims must be brought within one year of knowing the facts.[1] The customer remains responsible for its tax and social filings made through the service. The terms are governed by French law, with the courts of Lyon having exclusive jurisdiction after the amicable procedure.[1] See Liability is capped at twelve months of fees.
Related terms
Implementation work such as parameterisation, data take-on and training is sold under the separate general terms for services and, once accepted, the configured application becomes part of the SaaS service.[3] Developers using Cegid APIs are bound by the API terms dated 2021-03-16, which allow Cegid to impose limits on request volume or user count at its discretion.[4]
