- Customer Agreement s.12.23: "Subscription Term" means the term during which Customer receives a license to use the applicable Proofpoint Products. s.12.8: each Extension Term is an additional one-year (or other agreed) Subscription Term.
- Commercial rules
- Initial Term starts on the later of appliance shipment, processing of the Purchase Order for an evaluated product, or the email saying the products are available. Each Purchase Order renews automatically for Extension Terms unless either party gives notice of non-renewal at least 90 days before the end of the Subscription Term (s.7.1). Extension Term fees are set in the Purchase Order or by mutual agreement (s.5.1). Fees are non-cancellable and non-refundable for the Term (s.5.3).
