Syspro licensing

This article is an overview of how Syspro (SYSPRO) licenses its ERP software for manufacturers and distributors, including the 2026 move from an Initial and Annual License Fee model to a named-user subscription. Deeper articles cover user and licence types, the transition and General Terms, and deployment models, Torque and the App Store. It is not legal advice.

On This Page

Syspro (written SYSPRO in its product documentation) sells ERP software for manufacturers and distributors. Its public licensing material is thinner than that of many large vendors: there is no public end-user licence agreement for the core product, no public price list and no public metric glossary. What is public is a set of General Terms and Conditions, a formal notice about a change in licensing model, deployment-model pages and product help pages that describe, in operational terms, how licences are consumed. This article summarises those sources and says where they stop.

The 2026 licensing change

On 2026-07-15 Syspro posted a formal notice to customers. It states that Syspro is discontinuing the Initial License Fee and Annual License Fee model and that, going forward, its software will only be available under a named-user, subscription-based platform model, which applies to all customers.[1] Existing licences stay valid and fully in force until the individual expiry date: 31 October 2026 for customers outside the United States and 31 December 2026 for customers in the United States.[1] From the day after, a customer needs a new subscription agreement to keep using the software.[1] The notice says the subscription gives access to the full module entitlement and not just the modules in the current licence.[1] The details are in Syspro subscription transition and General Terms.

As this article was written (2026-10-13) the first of those dates was less than three weeks away, so the notice is the single most time-sensitive licensing fact for Syspro customers.

Contract structure

A Syspro agreement comprises the General Terms and Conditions, an Order Form and the Specific Terms and Conditions, with any other written agreement the parties conclude.[2] In a conflict the order of precedence is the Specific Terms, the Order Form, addenda, any other written agreement, and last the General Terms.[2] Appendix A maps each deal type to its specific terms: a licence deal uses an End User Licence Agreement and Order Form, private hosting uses a Private Hosting Agreement, Cloud ERP uses the EULA plus a Cloud ERP Hosting Services Agreement and, if applicable, a Cloud ERP Support Services Agreement, and professional services use a Professional Services Agreement.[2] The EULA itself, the Hosting Services Agreement and the Support Services Agreement were not found among Syspro’s public pages for this article.

The contracting entity is the one named in the agreement. The notice lists eight: Syspro UK Limited, Syspro Global Software Limited, Syspro Software Limited (Canada), Syspro Software (Pty) Limited (Australia), Syspro Software Pte Limited (Singapore), Syspro Software Malaysia SDN, Syspro Impact Software Inc. (USA) and Syspro (Pty) Limited (South Africa).[1]

Editions and packages

Syspro describes its Cloud ERP offering as a set of packages. Core packages include mandatory bundles (Foundation and Financials) and optional bundles (Manufacturing, Distribution, or both). Advanced solutions add bundles such as process modelling, workflow services and professional manufacturing and distribution modules, and individual add-ons are standalone components.[3] The page says customers select, and pay only for, the capabilities they require with the option of expanding.[3] The notice says the new subscription model gives access to the full module entitlement.[1] How the two statements fit together in a given subscription is a matter for the order form.

Metrics

Syspro’s help pages describe several user-based licence types:

  • Named users. In Cloud ERP the Named User licence type is for customer end users, and Service Accounts are for approved partners that configure and implement the system.[4] See Cloud ERP Named User.
  • Concurrent users. Core SYSPRO licences can be concurrent-user licences; a site licensed for 80 concurrent users can link up to 80 operators to Espresso.[6] See Core concurrent user.
  • e.net licences. Functional areas of the e.net Solutions business objects are licensed for named-user counts, and guest operator codes are counted by concurrent logons in a 30 minute period.[5][4]
  • Espresso and Portal. Espresso is licensed as Full, Linked and External users, and Portal operators are named users used only for the Supply Chain Portal.[6][4]
  • Torque tokens. The Torque AI platform has a monthly token allocation set by subscription plan.[8]

These are covered in Syspro user and licence types. The help pages are for particular releases (SYSPRO 7 Update 1, 8 2024, 8 2025 and 8 2026 R2) and are not contract documents, so the order form and EULA prevail over them.

Counting and floors

The public documents state no minimum user count or other floor. They do show how consumption is measured. A named e.net user consumes one licence regardless of whether logged in, and a guest user who logs off and on within 30 minutes consumes two.[4] Changes to the number of users, modules or functional areas, or an annual renewal, produce a new LICENSE.XML file.[5] A functional area can be licensed only if the matching SYSPRO module is installed.[5]

Virtualization and environments

No public document defines a virtualisation or hardware metric for SYSPRO. Three hosting models appear on Syspro’s deployment page: on-premise, managed service provider and cloud. In all three the client holds the software licence except in the cloud model, where the software is licensed on a monthly basis.[3]

Cloud and subscription

The deployment page says that in the cloud model the software is licensed monthly, that hardware is a monthly rental, and that annual maintenance is included in the rental. On-premise and managed service provider models list upfront software licence costs and annual maintenance.[3] Because the formal notice ends the Annual License Fee model, the on-premise column describes the model that Syspro says is closing. See Syspro deployment models, Torque and the App Store.

Programs

Contract terms

Fees are payable within 30 days of the invoice date.[2] Syspro’s aggregate liability in any year is capped at the fees that accrued in the preceding 12 months.[2] On termination of an Order Form all licences and rights terminate, and if termination is before the end of the term the customer must pay the fees for the balance of the term.[2] Syspro owns the intellectual property in fixes, customisations and custom development done for the customer, and may license it to others.[2] Assignment needs the other party’s written consent, which may not be unreasonably withheld.[2]

Audits and compliance

The General Terms contain no usage-audit clause. They do require the customer to indemnify Syspro against claims caused by failure to obtain and maintain licences for software Syspro needs to perform the deliverables, and allow suspension if a payment default is not remedied within five Business Days.[2] Compliance in practice rests on the licence file and on operator set-up in the product, where the number of users, Espresso seats and report designer seats is enforced by configuration. For example, with two licensed Report Designer seats, the designer option can be selected for only two operators.[4] See Software licence audit.

Out of scope

  • Prices: Syspro publishes no price list.
  • The EULA, Private Hosting Agreement, Cloud ERP Hosting and Support Services Agreements and Professional Services Agreement, which were not public.
  • Maintenance and support entitlements for on-premise licences beyond the deployment page.
  • Licensing of Syspro’s partners’ products, other than the App Store terms.
  • Release-specific module lists, which are set by the customer’s licence or order form.
