This article covers the parts of Syspro’s licensing that sit around the core ERP: how the software is deployed, the Torque AI platform, and the licence terms for applications obtained through the SYSPRO App Store.
Deployment models
Syspro’s Cloud ERP page compares three deployment models.[1]
| Model | Hardware | Software | Cost items listed |
|---|---|---|---|
| On-premise | Purchased and maintained by the client | Licensed by the client | Hardware capital cost, hardware upgrades, upfront software licence costs, software annual maintenance costs, IT resources |
| Managed service provider | Purchased and maintained by the MSP | Licensed by the client | Monthly hardware rental, no upgrade costs (included in rental), upfront software licence costs, software annual maintenance costs |
| Cloud or SaaS | Cloud provider responsible | Software licensed on a monthly basis | Monthly hardware rental, no upgrade costs, software as a regular operational expense, no annual maintenance costs (included in rental) |
The “upfront licence” and “annual maintenance” cost items correspond to the Initial License Fee and Annual License Fee model that Syspro’s July 2026 notice says is being discontinued.[4] The page is undated and does not mention that change, so the first two columns should be read as describing the model that applies until each customer’s expiry date. Whether a customer on a managed service provider or on-premise deployment is licensed monthly after the transition depends on the new subscription agreement, which is not public. See Syspro subscription transition and General Terms.
Cloud service
Syspro says its Cloud ERP is delivered through Microsoft Azure and describes the CSA STAR Registry and links a Cloud Trust Center in connection with its security controls.[1] The support components listed are product support, 24/7 infrastructure support, a service desk, online product help, and self-service and upgrades.[1] The page says the solution can be expanded or contracted as business needs change, including adding users, through a self-service portal called Syspro Cloud Central.[1] For licensing purposes the last statement is the relevant one: user quantities in the cloud are intended to be changed by the customer through a portal, but the effect on the order form (minimum term, price per added user, reduction rights) is not described publicly.
Solution packages
Cloud ERP is presented as solution packages. Core packages include mandatory bundles (Foundation, covering system administration, reporting services, office automation and messaging, contact management, connected services manager (e.net) and embedded analytics, and Financials) and optional bundles (Manufacturing, Distribution, or both). Advanced solutions add bundles for process modelling, workflow services and document flow management, professional manufacturing and distribution, and individual add-ons can be bought as standalone components.[1] The page says customers can select, and pay only for, the capabilities they require, with the option to expand.[1] The 2026 notice says the new subscription model grants the full module entitlement.[4] A customer comparing the two statements should ask whether the module list on the order form is still limited by package.
Contract documents by deal type
Appendix A of the General Terms assigns specific terms by deal type: Cloud ERP deals use the End User Licence Agreement together with a Cloud ERP Hosting Services Agreement and, if applicable for support, a Cloud ERP Support Services Agreement; private hosting uses a Private Hosting Agreement.[5] Those agreements carry the service levels and hosting terms, and were not public.
Syspro Torque
Syspro Torque is described in the help as Syspro’s industrial-grade AI execution platform, a cloud-hosted platform that connects large language model intelligence to a Syspro environment so that agents and workflows can act on business data, for instance by posting transactions, with human approval points available.[2] It is hosted by Syspro in Microsoft Azure and accessed through a web browser, and it connects to an on-premise Syspro instance through a lightweight Windows service, the Syspro Torque Executor Service.[2]
Tenants, plans and tokens
Torque licensing is shaped by three terms in the help.[2]
- Tenant. An isolated Torque environment provisioned for one company, with its own users, plan, connections, managed agents and workflows. A single user, for example a consultant or partner, can be a member of multiple tenants.
- Subscription plan. The tier assigned to a tenant, which determines its monthly token allocation. Higher tiers carry a larger allowance; the current options are Starter, Professional and Enterprise. The plan is set when the tenant is created and can be changed by a tenant admin.
- Token. The unit of AI usage a plan allocates each month. Consumption covers workflow executions, agent sessions and AI messages, and more complex tasks and longer conversations use more tokens. Usage resets monthly, and notifications can be configured as the limit approaches.
Roles in a tenant are Viewer (read-only), Editor (build and modify workflows and managed agents), Manager (Editor access plus managing teams, resource permissions, sharing connections and viewing execution history) and Tenant Admin (full access, including inviting users).[2] The help does not state whether users or roles are separately priced, so the public documents show only a consumption dimension (tokens) and a tier. Each agent is scoped to the business objects and data it needs and respects existing Syspro operator permissions.[2] See Generative AI licensing and Subscription and consumption licensing for the general topic.
Installing the executor requires a registration token created by a tenant admin, which is valid for one hour.[2] The pricing and contractual terms for Torque were not found in public documents.
SYSPRO App Store
The SYSPRO App Store is a website through which developers (“Publishers”) distribute applications that require or interface with SYSPRO software to customers that have a current licence to use SYSPRO software.[3] A current SYSPRO licence is needed to open an account.[3] The agreement was last published in October 2017, so it may not reflect current practice.
Application categories
| Category | Terms |
|---|---|
| Free Applications | Download free; usable by an unlimited number of the customer’s Users |
| Once-Off Fee Applications | Once-off licence fee to the publisher; usable by the Users licensed for SYSPRO Software, or by an unlimited number of Users if there is no licence key |
| Full Fee Applications | Initial licence fee, then ongoing annual licence fees; usable only by Users licensed to use SYSPRO Software |
Source: SYSPRO App Store EULA, clause 2.2 and clause 9.5.2.[3]
A “User” for the agreement is a person, an employee or contractor, authorised to access and use the Applications at any one time.[3]
Licence scope and restrictions
The licence is a non-transferable licence to use the application in conjunction with SYSPRO software for internal business purposes. Applications may not be copied except for reasonable backups, only one copy may be used at a time, and renting, leasing, selling, sub-licensing, outsourcing or making the application available for another organisation is prohibited, as is reverse engineering or tampering with security technology.[3] Paid applications with a licence key may be used by the number of Users licensed for SYSPRO software under the customer’s software licence agreement with Syspro or its territory office.[3]
Updates, evaluation and support
Once-Off Fee Applications include minor updates and error fixes at no extra fee, but updates with substantial changes or new functionality need a new licence for the new application version; Full Fee Applications receive all updates, upgrades and fixes at no additional fee.[3] A temporary licence for one User for an evaluation period of 30 days is available for paid applications with licence keys; if the customer does not buy before it ends, it must stop using the application.[3] Errors reported within 90 days of a once-off licence purchase, or at any time while annual fees are paid for a full fee application, are handled by the publisher through a ticket; otherwise the licensor may charge its standard support rates.[3]
Payment, termination and law
Payments are by credit card except annual licence fees, and sales of licences are final.[3] Rights end automatically if the customer breaches the EULA or if its licence for SYSPRO software terminates for any reason, at which point it must stop using and destroy the application.[3] The dependency on the core licence matters for the transition: if a customer’s SYSPRO licence ends and is not replaced by a subscription, the App Store licences end with it. The laws of the Republic of South Africa govern the EULA.[3] Liability of the licensor is limited to the fee paid for the application concerned.[3]
Audits and compliance
The App Store EULA has no audit clause. Controls are technical, through licence keys and security technology that the customer must not circumvent.[3] For Torque, consumption is metered by the platform in tokens and notifications can be configured.[2] See Software licence audit.
