ONESOURCE and Tax & Accounting product terms

This article is about the product-specific and third-party terms that Thomson Reuters Tax & Accounting publishes for ONESOURCE, Checkpoint, Inflo, Tax Q&A and related products, and the limits they place on storage, credits, questions and training users. It does not cover UltraTax CS, which has its own article. It is not legal advice.

On This Page

Thomson Reuters Tax & Accounting sells corporate tax and trade compliance software (ONESOURCE), research libraries (Checkpoint), audit collaboration software (Inflo) and a number of smaller products. Their standard terms are the Onvio Full Terms, which say they govern Thomson Reuters products and services that reference them.[3] On top of those, the Tax & Accounting business publishes two pages that matter for licence positions: a Product specific terms page, which states that its terms apply in addition to the applicable customer agreement, and a Third party additional terms page.[1][2] Neither page is dated, so a customer should compare retrieval dates with the Ordering Document.

Product families

The ONESOURCE overview groups the products into indirect tax, corporate tax (including provision and income tax compliance), global trade management and statutory reporting, with a stated reach of statutory financial statements in the languages of 45 countries.[6] Checkpoint is described as a family of research and guidance solutions that includes Checkpoint Edge, Checkpoint Catalyst, the Orbitax International Tax Platform and Quickfinder.[7] Each family has its own order form, so the product-specific terms below are better read as a set of clauses to look for than as a single price book.

ONESOURCE product-specific terms

Product Term Measure or limit
ONESOURCE Determination During the Order Form term Thomson Reuters provides the most current version of the software, gives at least 90 days’ notice of a new production release and a pre-production environment for testing at least 30 days before; critical security and stability patches may be applied immediately [1] Load tests only in pre-production, with prior written notice and an agreed schedule; the customer may be charged hosting and professional services fees [1]
ONESOURCE Statutory Reporting If the licence includes the translation feature, translations are produced by software without human intervention, provided “as is” with no warranty of accuracy [1] Thomson Reuters may suspend or terminate the feature if a third-party provider withdraws its materials, with a pro rata refund in the cases stated [1]
ONESOURCE Data Hub The standard subscription includes up to 1 terabyte of storage; access is provided for 180 days after expiry or termination so data can be migrated [1] Automatic connection through APIs is allowed only if the product description on the Order Form includes the word “API” [1]
ONESOURCE Direct Tax Foundation Services Charges are set on the Order Form and billed annually; quoted charges are valid for thirty days [1] Includes activation, access confirmation, ad-hoc consulting and a ONESOURCE University Training Passport [1]
ONESOURCE Indirect Tax Compliance for UK Making Tax Digital A hosted application that automates the UK VAT return and EC Sales Listing and supports electronic filing through HM Revenue & Customs [1] Defined by the hosted application description
ONESOURCE E-Invoicing powered by SpendConsole Governed by the SpendConsole End User License Agreement [1] Per that agreement

Foundation Services and Passports

The Foundation Services are sold separately from ONESOURCE Max Support, Managed Services, Continuity Services, Premium Subscription Services and Technical Support & Maintenance, and they do not include product implementation, although ad-hoc consulting hours may be used for help during business hours; implementation requires a separate engagement with ONESOURCE Professional Services.[1] The ONESOURCE University Training Passport applies to a single individual, and the number of Passport users is based on the number of underlying licences to the relevant ONESOURCE Direct Tax product; it can be transferred to another person only if the individual leaves the company or after a twelve-month period.[1] A customer that assigns training access to several people from one Passport is therefore outside the term. Changes in ONESOURCE product subscriptions may affect services charges.[1]

Data Hub and API access

Data Hub illustrates a common Thomson Reuters pattern: the General Terms prohibit automatically connecting the Property to other data or systems without written authorisation, and the product term then states the exception, here an “API” product on the Order Form.[8][1] Storage above the standard terabyte is not priced in the terms, so additional capacity would be an Order Form item.

Inflo credits

Inflo is a consumption-metered product. All of a customer’s users may create billing events: adding fieldwork or completion requests in Inflo Collaborate costs 1 Credit; reconciling fieldwork data in Inflo Ingest costs 2 Credits together with any default Software Modules named on the Order Form at 3 Credits per module; and upgrading to Software Modules not in the default set costs 4 Credits per module.[1] Once a user creates a billing event the Credit is deducted for that Room regardless of when use of the Room begins.[1] Inflo Starter does not charge credits for Collaborate and Inflo Pro charges none for any module.[1] The Inflo liability limit is tied to the same measure: for claims about a particular module or Room it equals the Fees divided by the total number of Credits purchased.[1] Inflo also has its own terms of use for US accounting firms, which are listed in the third-party terms for Checkpoint.[2]

Tax Q&A and toolkits

The Tax Q&A Service is capped. Unless the Order Form says otherwise, the Practitioner Level allows a maximum of 20 questions per subscription period and the Starter Level 5; additional capped questions can be bought through customer support, and for use above the cap Thomson Reuters may charge a surcharge equal to the then current subscription fee, with prior notice if the customer is likely to exceed the cap.[1] The separate Tax Q&A product-specific terms (Version 1.0, 01.7.17) add that answers are provided by an accounting firm in Perth, that the question template is completed in Checkpoint and that the cap is 20 questions per subscription period unless the order form states otherwise.[5] That version is written for Australia and New Zealand customers, and its date is read from its version label.

Purchases of Thomson Reuters desktop-based software products and Excel-based toolkits downloaded via Checkpoint, CD, digital media or cloud storage cannot be cancelled until after the initial or renewal term expires.[1] The K-1 Analyzer product terms include a User Data License: Thomson Reuters and its third-party providers may collect and store information about use of the software, and the customer grants an irrevocable, non-exclusive, perpetual, transferable, sublicensable and royalty-free right to use that User Data for testing, supporting, enhancing, developing and improving the software.[1]

Third-party terms for Checkpoint and ONESOURCE

The Tax & Accounting third-party page lists, by product, the pass-through terms that apply in addition to the customer agreement: Inflo and Refinitiv Fundamentals and Filings, FAF (Financial Accounting Foundation) and IFRS terms for Checkpoint; Bing Search Services for Checkpoint Edge; QuickBooks Online Integration and bank-feed terms for CS Professional Suite and Onvio; Microsoft terms for NetFirm, Professional SaaS and Virtual Office; sanctions ownership lists and SAP Ariba terms for ONESOURCE Global Trade and Indirect Tax; Refinitiv Fundamentals for ONESOURCE Transfer Pricing; and the Tax Q&A product-specific terms.[2] Under the General Terms these third-party terms rank first in the order of precedence.[8]

The IFRS Foundation terms, published by Thomson Reuters under licence, show how restrictive such terms can be. They permit use of the IFRS intellectual property for personal and non-commercial use only, prohibit reproduction for commercial purposes including seminars and training, and prohibit use of any part of it with AI models, tools or related technologies except as permitted within the licensee products, without the Foundation’s written permission.[4] A firm that republishes Checkpoint content in training material or loads it into an internal AI tool should check these terms, not only the Thomson Reuters General Terms.

CoCounsel Tax Essentials uses Checkpoint content behind the scenes to ground answers but does not require a Checkpoint subscription, and it does not include access to the Checkpoint Edge library; customers with a Checkpoint subscription can link to content within their existing subscription level.[9] The AI terms are in CoCounsel and generative AI terms.

Practical points

  • Request the Order Form and the dated version of the product-specific terms for each ONESOURCE product, because the web pages are undated.
  • Track the Passport holders by name; the Passport is for a single individual.
  • Treat Inflo credits, Tax Q&A questions and Data Hub storage as consumption measures with their own reconciliation.
  • Check the third-party terms before reusing content (IFRS, FAF, sanctions lists) outside the product.
  • Record non-cancellable terms for desktop software and toolkits so that the renewal is not triggered unintentionally.

Out of scope

This article does not cover the pricing of ONESOURCE, which is quoted per order, ONESOURCE Pagero or SpendConsole terms in detail, Checkpoint subscription tiers, or products sold by Thomson Reuters in other regions under other terms.
