LaunchDarkly Terms of Service and support plans

This article is about the contract documents for LaunchDarkly's self-service plans: the Terms of Service effective September 8, 2025, the Product-Specific Terms, the Data Processing Addendum, and the Support Policy with its Bronze, Silver, Gold and Platinum levels. It notes where Enterprise customers fall outside these documents. It is not about metrics or prices and it is not legal advice.

The LaunchDarkly Terms of Service documented here are headed “Developer Tier and Foundation Self-Service Customers” and are effective September 8, 2025.[1] The agreement is between the customer and Catamorphic, Co., a Delaware corporation doing business as LaunchDarkly, and is accepted by clicking to accept, by accessing or by using the service.[1] Customers who entered into a self-service Starter or Pro subscription before July 7, 2024 are governed by archived terms until the end of the applicable subscription term, and the archive also lists an Enterprise Terms of Service updated October 27, 2022.[1][5] Enterprise plan options are customized to each customer and are not available from the Billing page.[7] A negotiated Enterprise agreement can differ from what is described below, so the signed document governs.

Use rights and restrictions

Grant. On purchase of a subscription, LaunchDarkly grants a limited, non-sublicensable, non-exclusive, non-transferable right during the term for Users to access and use the service in accordance with the Documentation, solely for the customer’s internal business purposes.[1] LaunchDarkly retains all rights in the service, the SDK and the documentation, and the customer is not entitled to a copy of the underlying software.[1]

Seats and Users. A Seat is a licence granted by LaunchDarkly for a single User to access and use the services. A User is the customer and its Affiliates and their employees, agents, contractors, service providers or consultants who access the service as authorized by the provision of a Seat.[1] An Entitlement is a use limitation specified in the Order, such as Seats and usage restrictions.[1] The pricing page lists the Developer plan with unlimited seats.[6] See Seat.

Usage limits. Services are subject to the usage limits in the Service Plan and documentation, including the number of Seats, and excess usage is charged under the fees section.[1]

Restrictions. The customer will not do any of the following:[1]

  • resell, sublicense, lease, time-share or otherwise make the service available to any third party;
  • send or store infringing or unlawful material or harmful code;
  • modify, copy or create derivative works of the service, or reverse engineer it;
  • access the service to build a competitive product or service;
  • use the service solely to monitor its availability, performance or functionality, or for benchmarking or competitive purposes intended to be disclosed to a third party;
  • provide access to a known competitor of LaunchDarkly;
  • permit access or use that circumvents or attempts to circumvent a contractual usage limit, or facilitates access by a non-User.

The first and last items may bear on agencies, resellers and shared-tooling arrangements, because a Seat is defined for a single User and the circumvention clause covers access by a non-User.

Customer responsibilities. The customer configures the service, including what Customer Data is collected through the SDK, is responsible for Users’ compliance, and must ensure Customer Data does not include Sensitive Data, which covers special category data, payment card data, government identifiers, account credentials and similar information.[1]

Suspension. LaunchDarkly may suspend access immediately on notice for security risk, adverse impact on systems or other customers, liability exposure or fraud. It may also suspend on fifteen days’ notice for breach of the customer-responsibilities section or more than 30 days of payment delinquency, and the customer stays responsible for fees during suspension.[1]

Fees, term and termination

  • Fees. Prices are on the Pricing Page and shown at checkout. Overage and usage fees are calculated on usage and invoiced monthly in arrears, fees are payable in US dollars and fees include standard Support.[1]
  • Fee changes. LaunchDarkly may change fees at any time in its sole discretion with at least thirty days’ written notice to the registered email address, and a customer that does not accept can cancel.[1]
  • Billing. The customer provides a credit card and authorizes charges monthly, annually or pay-as-you-go. Billing starts on the first day of use of Paid Services. Payments are non-refundable, and for usage-based services LaunchDarkly may pre-authorize the card for accrued fees during a billing period.[1]
  • Late payment. Undisputed late amounts may carry interest at 1.5 percent of the outstanding balance per month, or the legal maximum if lower, plus collection costs, and access may be suspended or terminated.[1]
  • Renewal. Subscriptions to Paid Services renew for periods equal to the initial Subscription Term at then-current rates unless the customer cancels through the account dashboard before the next scheduled billing date.[1]
  • Termination. Either party may terminate for cause on thirty days’ notice of uncured material breach, or for any reason with effect at the end of the then-current Subscription Term; fees incurred stay payable. Thirty days after termination LaunchDarkly has no obligation to keep Customer Data.[1]
  • Entire agreement. In a conflict between the Agreement and any Order, the Agreement controls, and LaunchDarkly may update the Agreement, with continued use being acceptance.[1]

Developer Tier and trials

Free trials, the Developer Tier of the Foundation Plan and beta, preview or early access features are Free Trial Services. They are available until the earlier of the end of the trial, the start of an Order or termination by LaunchDarkly in its sole discretion with or without notice, and are provided as-is with no support or warranty. Where the exclusion of liability is not enforceable, LaunchDarkly’s liability is capped at $1,000, while the customer stays fully liable for damages from its use, its breaches and its indemnities.[1] See Free trial and Developer Tier terms.

Compliance and audit

The self-service Terms contain no clause that lets LaunchDarkly audit a customer’s licence use, and the reviewed text has no true-up or certification clause. Metering is done by LaunchDarkly, and the customer reads the same figures on its Plan usage page.[1] Breaches of the customer-responsibilities section are, however, excluded from the liability cap.[1]

The audit right found in the documents favors the customer. The Data Processing Addendum says that, if required by data privacy laws applicable to personal data, LaunchDarkly will allow the customer or an independent auditor it appoints to conduct audits, including inspections, to verify LaunchDarkly’s compliance.[4] Personal data processed through the service is governed by the DPA unless the parties executed another one.[1]

Liability, law and data

Each party’s aggregate liability is capped at the fees paid or payable in the twelve months before the claim, with exceptions for the customer’s indemnification obligations and breach of the customer-responsibilities section and for gross negligence or wilful misconduct.[1] The customer indemnifies LaunchDarkly for third-party claims about Customer Data and its own obligations.[1] The agreement is governed exclusively by California law, and disputes are brought exclusively in the courts located in the Northern District of California.[1] LaunchDarkly may use anonymized or aggregated data for its business purposes, including industry analysis and benchmarking, and may list the customer’s name and logo on its website to identify it as a customer.[1]

Product-Specific Terms for Session Replay and AI Features supplement the Agreement and prevail over it in a conflict. They are covered in LaunchDarkly Experimentation, AI runs and observability usage.[2] The Acceptable Use Policy is incorporated by reference and was last effective July 22, 2026.[1][8]

Support plans

The Terms provide the Bronze level of support to every customer.[1] The Support Policy, effective July 29, 2026, describes four levels. It applies based on the level purchased under an Order Form, under the mutually agreed master agreement, and LaunchDarkly may modify it with changes taking effect in the next renewal term.[3] See Support plans (Bronze, Silver, Gold, Platinum).

These values are taken from the Support Policy table.[3] Service credits are available only at Gold and Platinum. At Gold, availability under 99.99% but at least 95.0% earns a 5% credit and under 95% a 10% credit. At Platinum, under 99.99% but at least 98.0% earns 10% and under 98% earns 12%. A credit is a percentage of the monthly fee for the affected core functionality and is issued only if LaunchDarkly misses the commitment in two consecutive months.[3] On the pricing page, Developer and Foundation list Bronze support, Enterprise lists Silver with Gold or Platinum available, and product uptime of 99.99% is tied to Gold and Platinum.[6]

Practical points for asset managers

  • Confirm which agreement applies: current self-service terms, archived Starter or Pro terms (for subscriptions before July 7, 2024), or a negotiated Enterprise agreement.[1][5]
  • Check renewal dates and cancel in the dashboard in good time, since renewal is automatic and at current rates.[1]
  • Review who holds Seats, and whether any third party accesses the service, given the restrictions on resale, competitors and circumventing limits.[1]
  • Record the support level purchased, because service credits and phone support are limited to the higher levels.[3]
  • Ensure Sensitive Data is excluded from flags and contexts, since the Terms prohibit it in Customer Data.[1]

Prices, metrics and billing cycles are in LaunchDarkly plans, pricing and billing and LaunchDarkly service connections and client-side MAU. This article does not cover the Security Program Addendum, the Privacy Policy or the subprocessor list.
