ADP Vantage HCM is ADP’s large-enterprise HCM platform, ADP Lyric HCM is its newer full-suite HCM product, and ADP Workforce Manager is its time and attendance and workforce management service. ADP Global Payroll, formerly ADP Celergo, is its multi-country payroll service. ADP publishes licence terms for the first and third of these and descriptive pages for the rest.
Editions
ADP’s developer catalogue positions the large-employer platforms as follows. ADP Vantage HCM is “For large businesses, typically with over 1,000 employees.” ADP Enterprise HR is “For large businesses, typically with a global presence and over 1,000 employees.” ADP Lyric is “A global HCM solution for large multinational enterprises seeking a single worldwide HCM system.”[1] ADP’s Lyric page calls ADP Lyric HCM “a flexible, full-suite HCM solution,” with support for payroll processing in 140+ countries and territories and a localized system of record for 100+ countries.[2] The retrieved material contains no list of Lyric modules or editions with prices. See ADP Vantage HCM and ADP Lyric HCM.
Vantage HCM terms
ADP Vantage HCM Additional Terms and Conditions, “Online Terms v1,” are published on adp.com. Section 1.1 requires the client to use the services only for its internal business purposes and those of the “Client Group,” and to ensure each Client Group entity complies.[3] See Vantage HCM services are for the client and its Client Group.
Licence and counting
Section 3.2.1 grants “a personal, non-transferable, non-exclusive right and license to use solely for Client’s internal business purposes the ADP Products listed in Annex Z.” Section 3.2.2 says the licence “is for production only and not development” and that the client “may have as many users of the ADP Products as are specified in Annex Z.”[3] Annex Z is the client’s own schedule, so the user quantity is the number written there. Section 3.6 covers talent management services powered by CSOD. It repeats the licence grant for the ADP Products listed in Annex Z and licenses planning “for as many employees as are specified in Annex Z.”[3] See Vantage HCM planning population is fixed in Annex Z and Employees specified in Annex Z (Vantage HCM Talent Management powered by CSOD). The terms do not define “user” beyond this, so how a named or active user is counted is a question for the client’s agreement and the product documentation.
Restrictions
The client may use the ADP Products only to process its own internal data and may not assign, loan, sublicense or transfer them, or alter, modify or adapt them. It may not “publish the results of benchmark tests run with the Application Programs,” and may not allow use in any country that does not respect trade secret and copyright protection.[3] See Vantage HCM benchmark results may not be published. For the talent management component the terms add a list of prohibitions, including use for “facility management, service bureau or time-sharing purposes” or for processing data on behalf of a third party, and releasing the results of comparisons with other software.[3] See Vantage HCM talent management cannot be used as a service bureau.
Services, hardware and other components
If the client asks for additional services not covered by the agreement, they go into an Amendment, and services supplied without one are provided “at ADP’s then prevailing fees.”[3] See Services outside the Vantage HCM agreement are charged at prevailing fees. For the time and labor management component, additional licence terms are incorporated by reference, and for time clocks “Title to the Hardware shall remain in ADP” unless the hardware has been purchased and fully paid for.[3] See Vantage HCM time clocks remain ADP property. The terms also contain disclosures for recruiting management, employment verification through The Work Number, benefit services and screening, which are service descriptions rather than licence terms.[3]
The retrieved text contains no licence audit clause and no price terms. The fees, term and Annex A it refers to are not part of the published document and sit in the client’s agreement.
Workforce Manager terms
ADP Workforce Manager terms depend on the date of the agreement. The older pass-through terms say that the licensing terms at adp.com/WorkforceManagerTerms apply to agreements or amendments signed on or after October 1, 2025, and that the older terms apply to those signed before.[4] See Workforce Manager terms depend on whether the agreement was signed before 2025-10-01. The current terms are described below.
Licence and restrictions
The services are provided for internal business purposes under “a limited right to use” and “are not sold,” with ADP and its subcontractor reserving all other rights.[5] ADP’s subcontractor for the service is UKG Kronos Systems, LLC, and the Acceptable Use Policy is the one published by UKG.[5] See Workforce Manager is licensed for internal use and is not sold. The client may not license, sell, transfer or outsource use of the services, provide service bureau or time-sharing access, or access the services to build or support competitive products, and may not contact the subcontractor for direct support.[5] See Workforce Manager may not be used to build competing products or serve third parties. Authorized Users are anyone who uses the client’s credentials, and the client is responsible for their actions.[5] See Client's Authorized Users (Workforce Manager).
Cloud guidelines
Attachment 1, the Workforce Manager Cloud Guidelines, sets the entitlement. Included are “One standard production tenant” and “One partial copy non-production tenant limited to 18 months of data,” with additional partial copy tenants “available for purchase invoiced monthly.” The service includes two SFTP managed service accounts, with additional accounts available for purchase; transfers are limited to 100MB, with 20 active concurrent sessions and a 10GB storage quota per account, “subject to change.” The number of active KPIs is limited to 200 per client. A production tenant copy can be moved to the non-production tenant once per week.[5] See Workforce Manager includes one non-production tenant and two SFTP accounts, SFTP managed service account (Workforce Manager cloud), Non-production tenant (Workforce Manager cloud) and ADP Workforce Manager Cloud Guidelines.
API use may be limited by ADP and its subcontractor; “Data usage limitations will be measured on a per-minute basis.”[5] See Workforce Manager API usage is limited per minute. Other guidelines set a 24 hour recovery time objective, a weekly four-hour maintenance window and the right to use scrubbed system data to improve the service.[5]
End of service
After termination the client has 30 days to retrieve its data, and longer access is subject to additional fees. Client data is then deleted in steps, with final deletion when the last backup containing it is overwritten.[5] See Workforce Manager data is retrievable for 30 days after termination.
ADP Global Payroll and Celergo
ADP announced on 27 November 2019 that “ADP Celergo is now available worldwide to help companies manage multi-country payroll,” with coverage in 140 countries.[6] The address of ADP’s Celergo page now redirects to an ADP Global Payroll page, which describes payroll “from 1 employee to hundreds of thousands in 140+ countries and territories” and “three levels of payroll services” for outsourcing.[7] See ADP Global Payroll (formerly ADP Celergo) and ADP Celergo is now presented as ADP Global Payroll. The pages retrieved do not state which contract terms govern Global Payroll or Celergo, the meaning of the three outsourcing levels or the unit of charge. A client with a Celergo contract should confirm with its agreement whether the product name changed or the contract was replaced.
ADP’s developer catalogue also lists ADP GlobalView, “Designed to help large multinationals deliver compliant payroll using one single system of record in over 40 countries,” and several country products such as ADP eXpert in Brazil and ADP Link in France.[1]
