- Cloud Services are for applicable Named Users and internal business purposes

- Undisputed invoices are payable within 30 days and disputes must be raised in 30 days
- Payments over 30 days late can lead to suspension and acceleration
- Strategy may use Customer Data to operate, support or improve the Products
- Evaluation Products are for internal testing only
- Liability for Evaluation Products is capped at USD 1,000
- The customer may terminate for convenience but remains liable for remaining amounts
- On expiry or termination the customer must immediately stop using the Product
- Customer Data is exported on request within 30 days of termination
- Perpetually licensed Software has a six-month Product warranty
- Assignment needs consent except to a successor, and transfer to a competitor allows termination
- The Ship To country selects the contracting entity, governing law and venue

- Non-payment of a Reseller is a material breach of the Agreement
