- Standard EULA for Keysight software (published May 1, 2025; supersedes the 01Jul2021 edition). A separate executed agreement takes precedence (s.20).
- Evidence
- A Node Locked licence covers one copy on one Computing Device
- A Node Locked licence cannot move to another device without Keysight consent and fees
- A Transportable licence is one copy in use at a time and may be moved by Keysight methods
- Floating licences are limited to the number of simultaneous users, devices or copies obtained
- Floating licence users must be inside the area designated in the order
- A single-site floating licence may not be reached by remote users outside the Use Area
- Use Area is a 50-mile radius within the same time zone
- Floating licence copies may run on dedicated server resources provided by a third party
- An evaluation licence is for evaluation only and ends at the Term, on purchase, or on termination
- Perpetual means device lifetime for Node Locked and indefinite use for Transportable and Floating
- Without documentation the licence is a Node Locked licence with a Perpetual Term
- Licensed users are employees, agents, subcontractors and consultants acting for internal business use
- The Software may not be offered over a public network, service bureau or time share
- The Software may not be used as training or prompt input to a Generative AI Program
- Competitive use and disclosure of competitive analysis are restricted
- Licence enforcement measures may collect data about suspected unlicensed copies
- The EULA does not itself include upgrades, updates or technical support
- The Software may not be transferred without Keysight's consent and fees
- Keysight may audit records on reasonable notice at its own expense
- A material breach found in audit shifts audit cost and adds underpayment with interest
- The EULA is governed by California law with venue in the Northern District of California
- A separate executed agreement with Keysight takes precedence over the EULA
