- EUSA §12.5 (Last Updated 2026-08-01): neither party may assign without consent, except that either may assign the Agreement in its entirety to an Affiliate or in connection with a merger, acquisition, reorganization or sale of substantially all assets not involving a direct competitor of the other party.
