Seats do not move with an assignment to an Affiliate without consent

- The Agreement may be assigned to an Affiliate or in a merger or sale of substantially all assets without consent, but previously purchased licences, access rights and User seats are not assignable or transferable without KnowBe4's written consent. Group restructurings therefore need KnowBe4 approval to move seats between entities.
