- "User" means, in the case of an individual accepting these terms on his or her own behalf, such individual, or, in the case of an individual accepting this Agreement on behalf of a company or other legal entity, an individual who is authorized by Customer to use a Service, for whom Customer has purchased a subscription (or in the case of any Services provided by SFDC without charge, for whom a Service has been provisioned), and to whom Customer (or, when applicable, SFDC at Customer's request) has supplied a user identification and password (for Services utilizing authentication). Users may include, for example, employees, consultants, and contractors of Customer and third parties with which Customer transacts business.
- Counting rules
- MSA 3.1: Purchased Services are purchased as subscriptions for the term on the Order Form (or online portal); added subscriptions use the same pricing, prorated, and terminate with the underlying subscriptions. MSA 3.2: Services are subject to usage limits specified in Order Forms and Documentation; if Customer exceeds a contractual usage limit, SFDC may work to reduce usage to that limit, and if Customer cannot or will not abide, Customer will execute an Order Form for additional quantities and/or pay excess-usage invoices. MSA 3.4: Customer will not make any Service available to anyone other than Customer or Users (unless an Order Form or Documentation expressly states otherwise) and will not permit access that circumvents a contractual usage limit. MSA 5.1: fees are based on Services subscriptions purchased and not actual usage; quantities purchased cannot be decreased during the relevant subscription term.
- Floors / minimums
- The MSA does not publish a minimum User quantity. Quantities are specified on the Order Form. Supplemental Terms for Eligible Nonprofits and Educational Institutions define P-10 (or P10) as the ten User subscriptions for certain Services offered at no charge to eligible organizations.
