Mendix contract terms are the written terms that determine what a Mendix customer is entitled to run, for how long, and with what support. Mendix publishes fewer contract documents than many vendors. The public set is the Order Form Definitions, the Mendix Basic Subscription EULA and a service level agreement, supplemented by product documentation that describes the subscription lifecycle and the support and version policy. The Order Form Definitions state that capitalized terms used in an Order Form and not defined there or in the applicable Master Services Agreement have the meanings shown in the definitions page.[2] The corporate information page names Siemens Industry Software Netherlands B.V. in Rotterdam.[8]
Editions
The Basic Subscription EULA applies to the Mendix Basic Package purchased through an Order Form. If the customer’s organization has an executed agreement, that agreement prevails except for the export control section, and on termination of that agreement the customer may continue to use the Basic Package under the EULA terms.[1] The purchase entitles the organization to run an application in Mendix Cloud only, with one production environment powered by one cloud resource pack and one development environment on a developer’s machine. The application may be accessed by the number of named users on the Order Form, each with unique login credentials.[1] The support and service levels are those of the standard plan on the SLA page, or the equivalent under a successor SLA.[1] The Basic Package is a subscription for one year from the date of provisioning that does not renew automatically and ends by operation of law at the end of the term. The full amount is invoiced at the start and payable within thirty days, and late payment results in immediate cancellation.[1] The current pricing page lists Free, Standard and Premium and no longer shows a Basic plan.[7]
Metrics
Contract documents define the commercial units. The Order Form Definitions define Named User, Internal User, External User, App, App Environment and Cloud Tokens, and legacy units such as Any App User and Concurrent User.[2] They also define the packages: Standard with up to four App Environments per App including one local development environment; Premium with flexible App Environments and 24/7 support; and Premium Plus with a CoE dashboard on top of Premium.[2] These units are developed in the overview and the user subscriptions article.

Licence grant and restrictions
Under the Basic EULA Mendix grants a non-exclusive, non-transferable licence to access and use the Mendix Platform for the customer’s internal business purposes only, and the customer does not receive the platform source code. The EULA lists prohibited acts, among them licensing, sublicensing, selling, reselling, renting, leasing, transferring or otherwise commercially exploiting the platform beyond what the EULA allows; making the platform available to any third party; creating derivative works; reverse engineering; and accessing the platform to build a competitive solution.[1] The customer remains responsible for all activities under its users’ logins and for scheduling and implementing platform updates and upgrades.[1] The pricing page draws the practical line for software vendors: its pricing is for enterprises building apps for their internal operations, and an independent software vendor selling commercial software built on Mendix follows the separate Mendix ISV Program, which operates on a royalty basis.[7]
Data and application model
The EULA states that proprietary rights in the platform and documentation remain with Mendix or its licensors, and that Mendix may collect, use and distribute aggregated information and statistics generated by the platform, provided it does not disclose them unless anonymized and aggregated so that a third party cannot identify the customer or its users. Rights in the customer’s application data and application model stay with the customer, who is the data controller, while Mendix acts as processor.[1] Application data and model are backed up automatically each day, and on cancellation or expiry Mendix has no obligation to preserve or back them up.[1]
Termination and governing law
Either party may terminate immediately on notice for reasonable cause, including unauthorized installation or use of the Mendix Platform.[1] Governing law depends on the Mendix entity on the order confirmation: Delaware law and courts for the Americas other than Brazil, Brazilian law and the court of Sao Caetano do Sul for Brazil, Hong Kong law with ICC arbitration seated in Hong Kong for Asia and Australia or Oceania other than Japan, Japanese law with ICC arbitration seated in Hong Kong for Japan, and Dutch law with ICC arbitration seated in Rotterdam elsewhere.[1]
Virtualization & partitioning
No virtualization or partitioning terms appear in the Basic EULA or the Order Form Definitions. Outside Mendix Cloud, licences attach to environments and servers as described in the deployment licensing article.
Cloud / BYOL
The Order Form Definitions describe the cloud scenarios and the documentation describes the Free and licensed node distinction. Cloud-specific contract points follow the subscription. The Subscription Management documentation describes three account statuses derived from the contract expiry date:

Mendix begins renewal emails 90 days before expiry to the primary contacts, 15 and 7 days before expiry it sends impact and offboarding emails, and 60 days after expiry the Mendix Cloud application data is permanently deleted.[3] Mendix Admins can see all contracts in the Contract Information section of the company dashboard in Control Center, and the page advises customers to review Mendix terms and plan upgrades annually to stay aligned with end-of-life standards.[3]
Programs
Support levels
Licensed customers can select an SLA level, Standard or Premium. The level determines support availability, platform availability, maintenance, incident response and resolution times, and recovery objectives.[5] The SLA document, labelled July 2021, states that Standard Support applies to Standard Packages and Premium Support to Premium Packages. It gives Standard support hours of ten hours a day, five days a week, and Premium support of 24 hours a day, seven days a week, with a critical-incident response of under two office hours for Standard and under one hour for Premium, and resolution targets of under eight office hours and under four hours.[4] The same document states availability of 99.50% for default Cloud v4 hosting and 99.95% for Premium with a fallback environment and horizontal scaling.[4] The pricing page today states an uptime guarantee of 99.5% for Standard and 99.95% for Premium and standard support hours of 9 AM to 5 PM against 24/7 for Premium.[7] The two documents differ in the hours, so a customer should rely on the support terms in its own contract.
Version lifecycle
Mendix supports three major versions at a time. A minor release is generally issued each month; a long-term support (LTS) version remains supported until its major version falls out of support, which happens when a third consecutive major version is released. A medium-term support (MTS) version is supported until three months after the next major version.[6] The documentation lists current and planned releases as 9.24 LTS (March 2023), 10.24 LTS (June 2025), 11.6 MTS (December 2025), 11.12 LTS (June 2026), 11.18 LTS (December 2026), 11.24 LTS (June 2027) and a new major version 12.0 planned for June 2027.[6] The Basic EULA states that Mendix supports the current major release and the two prior major releases, commits to support any major release for at least 24 months from release, and will release at least two newer major releases before considering a release end-of-life.[1] Applications on unsupported versions cannot be deployed or run on Mendix Cloud, although they can run on customer infrastructure, where Mendix will not investigate related issues.[6]
Extended Support
Extended Support may be offered when support for a major version ends. It incurs an additional cost and covers support within one year following the general availability release of the latest major version, in 6-month or 12-month packages. It does not apply to applications that contain a native mobile profile.[5] Mendix Cloud supports deploying and running all supported major versions, including those supported through the Extended Support product.[9]
Audits and compliance
The Basic EULA headings include warranties, limitation of liability, indemnity, termination, export compliance, confidentiality, feedback and governing law, and no audit or inspection clause appears among them.[1] Compliance is therefore mainly operational: usage is metered by the platform and shown monthly, and over-usage is discussed with the account team. Unauthorized installation or use is a stated ground for immediate termination.[1] For customers with a Master Services Agreement, that agreement may contain additional terms that this article does not describe.
