Extreme Networks licenses its software and cloud services through a small family of agreements. The Extreme legal page lists the Platform ONE Subscription Services Agreement, the End User License Agreement (EULA), the Extreme Cloud Subscription Services Agreement, the ExtremeCloud IQ Evaluation Agreement, the Professional Services Terms and Conditions, the Terms of Support and the Terms of Sales.[7] This article reads the licence-relevant parts of the EULA and the two subscription agreements, and shows how they fit together. The per-device counting rules are in the subscriptions article and the switch licences article.
Which document applies
| Situation | Governing document | Notes |
|---|---|---|
| Software on or with hardware, downloaded software, licence keys | EULA | Licence type comes from the Ordering Documentation |
| Software delivered with a product bought directly from Extreme | EULA via Terms of Sale | Terms of Sale 8.2 licenses Software under the then-current EULA[5] |
| Extreme Platform ONE services and related software | Platform ONE Subscription Services Agreement plus service descriptions | Service descriptions prevail in a conflict |
| ExtremeCloud IQ, SD-WAN, Business Insights, Universal ZTNA | Extreme Cloud Subscription Services Agreement plus service descriptions | Service descriptions prevail in a conflict |
| Free trials of ExtremeCloud IQ | Evaluation Agreement | 30 days |
| Support plans | Terms of Support | See the support article |
Both subscription agreements and the EULA say that a separate written agreement signed with Extreme controls over conflicting terms of the standard document.[1][2] The Platform ONE agreement adds that when services are bought through Extreme’s channel, the agreement is incorporated into the purchasing agreements of distributors and resellers.[2]
The End User License Agreement
Grant and scope
On payment of the licence fees and subject to compliance, Extreme grants the end user a non-transferable (except as expressly permitted), non-sublicensable, non-exclusive licence to download, install and use object code versions of the Software for personal or internal business purposes as permitted by the Type of License purchased.[1] All Software is licensed, not sold. Software licensed together is a bundle and no component may be used standalone unless the Ordering Documentation says so, and Embedded Software may be used only on the Extreme hardware it is embedded in.[1] “You” means the first end user purchaser from an Authorized Source, and there is no right to the Software unless it is rightfully acquired from one.[1]
A third party may use the licensed Software if the use is for the licensee’s benefit and internal operations and complies with the EULA, and the licensee stays liable for the third party’s breaches.[1] This is the clause that governs outsourcers and service providers operating licensed software for a customer; it does not allow a service provider to use one licence for several customers.
Restrictions
The EULA bars modification and derivative works, copying the Software onto a public or distributed network, reverse engineering, use as a general SQL server or for time-sharing, removal of Extreme markings, placing a disproportionate load on the Software, circumventing security or access restrictions on versions or features, introducing open source software onto the Software or Extreme’s systems, and using automated means such as agents or scripts to access the Software or related Extreme services.[1] The restriction on circumventing “access restrictions relevant to Software versions or features” is the contractual counterpart of the licence-level checks on switches.
Licence types
The definitions list the Types of License a purchase may use.[1]
| Type | Meaning in the EULA |
|---|---|
| Capacity | Use up to the amount of capacity or usage defined in the Ordering Documentation |
| Client License | Install the key on the licensee’s server for the ordered number of Concurrent Users; one more licence per additional Concurrent User |
| Evaluation License | Object code for evaluation, training or other non-commercial purposes without a fee for a limited period (for example 30 days); no publishing of benchmark results without approval |
| Perpetual License | Use of the identified Software for an indefinite period, subject to the termination terms |
| Single User, Multiple Network Devices | Use with a defined number of Network Devices as in the Ordering Documentation |
| Single User, Single Network Device | Internal use of Software bundled with one serial-numbered Network Device, or a replacement for the same term; any other device needs a separate licence |
| Standalone License | Software licensed independent of any Network Device |
| Subscription License | Software licensed for a subscription period defined in the Ordering Documentation |
A Network Device is a physical computer device, appliance, appliance component, controller, wireless access point or virtual appliance as described in the product documentation, so a virtual appliance counts as a device.[1] The EULA itself does not state numbers; the numbers come from the quote, purchase order, invoice or order acknowledgement that make up the Ordering Documentation.[1] When reviewing entitlements, keep those documents with the licence record.
Maintenance and subscriptions
If Maintenance Services are purchased, software delivered under them is licensed under the EULA. If Software is bought on a Subscription basis, Extreme provides Maintenance Services for it at no additional charge during the Subscription term.[1] On expiry of a Subscription licence without renewal or reinstatement, the licensee must cease use, delete or return the Software and remove it from any Network Devices, and Extreme may require a written certificate of deletion.[1]
Term and termination
The EULA runs until terminated or until the licence term ends. The licensee can terminate by ceasing use and destroying copies. Licence rights end immediately on breach, or on non-payment not cured within thirty days of notice.[1] Perpetual licences are therefore perpetual only so long as the licensee complies and pays.
Audit
The licensee must take reasonable steps to keep complete and accurate records of use for the licence term and three years after expiry or termination. Some Software reports usage to Extreme, and by using it the licensee consents to the transmission. Extreme may audit use at its expense no more than once per twelve-month period, with reasonable advance written notice, during business hours and without unreasonably interfering with the business. If the audit discloses underpayment, the licensee pays the fees plus the reasonable cost of the audit within thirty days of notice; Extreme bears nothing of the licensee’s own cooperation costs. Extreme’s knowledge of use beyond scope does not waive its rights.[1] Separately, the Terms of Support require customers to keep records of inventory and sales of Products and Services for at least two years and let Extreme audit them, with the audit cost shifting to the customer when underpayment is more than 5 percent for the audited period.[6] Audit rights over cloud subscriptions are not worded in the same way in the Platform ONE agreement; the control there is the licence pool itself.[2]
Open source, assignment and law
Portions of the Software may contain open source software under its own licence; for GPL and LGPL components the licensee can request the source code, an offer valid for up to three years from original distribution.[1] Rights may not be sublicensed, assigned or transferred without Extreme’s prior written consent, so a merger or asset sale that moves licensed software to a new entity needs consent.[1] The agreement is governed by the laws of the State of California with exclusive jurisdiction in California state and federal courts, and the customer agrees that Extreme may use its name and logo in marketing materials to identify it as a customer.[1] Warranty is limited to ninety days from the start date, and liability is capped at the licence fees paid to an authorised source.[1]
Version labels are worth noting when filing the document. The first page reads “Extreme EULA version 1.21.2022”, while the definitions pages carry a different label (v2.24.2020). The agreement also says Extreme may change it at any time with written notice and an opportunity to accept, and that continued use signifies assent.[1] File the version and date of retrieval with each licence record.
The Platform ONE Subscription Services Agreement
Headed “Rev. Aug 28, 2026”, the agreement covers Extreme Platform ONE services, including related software and hardware, and applies by purchase, access or use of the services.[2] Its main licence terms:
- Grant. During the Service Term Extreme grants a limited, non-transferable, non-sublicensable, non-exclusive right to access and use cloud services for the licence types and to download, install and use related software, for personal or internal business purposes as permitted by the subscription type.[2]
- Restrictions. The same restrictions as the EULA, plus a bar on using automated means including AI or ML tools to access the services except through interfaces, APIs or AI agents that Extreme provides or authorises, on representing AI-generated output as human-generated, and on violating usage limits stated in documentation.[2]
- Third parties and MSPs. A third party may use the software only for the customer’s internal benefit. If services are bought through a managed service provider, Extreme’s obligations extend only to the MSP, MSPs must ensure customers comply, and Extreme can enforce its terms directly against the end customer. MSP Program participants may have additional terms in a separate MSP Agreement.[2]
- Support entitlement. Licence holders get TAC and OS support on onboarded hardware, except products on the Exclusions List, which Extreme may update at its sole discretion with effect on posting; support is also subject to end-of-life policies.[2]
- Data. Extreme may collect system data and, where AI tools are included, input and output as Content. Content and anonymised system data may be used to train Extreme’s internal AI and ML models, and Extreme states it will not allow third parties to train their large language models on them. Data remains available for up to thirty days after the Service Term, then is deleted, anonymised or made unrecoverable. On migration from ExtremeCloud IQ, ExtremeCloud IQ data is migrated into Platform ONE.[2]
- Suspension and termination. Extreme may suspend for a security risk, suspected fraud or abuse, or uncured breach (including non-payment) after thirty days’ written notice; either party may terminate for uncured material breach on thirty days’ notice. Suspension does not relieve the duty to pay.[2]
- Preview Services. Free, trial, alpha or beta access is limited to internal evaluation, can be changed or ended without notice, and carries no warranty, indemnity, service level or support.[2]
- Liability and indemnity. Extreme’s liability is capped at the licence fees paid in the prior twelve months for the services giving rise to the claim. Extreme defends claims that the services infringe patents or copyrights enforceable in the United States or European Union, subject to exclusions such as modified or combined services and open source software.[2]
- Service descriptions. Descriptions for ExtremeCloud SD-WAN, Platform ONE, Extreme AI, Business Insights and Universal ZTNA are incorporated and prevail over the agreement in a conflict.[2] Appendix A contains a service level agreement with an Annual Uptime Percentage and service credits claimed through a support case.[2]
The Extreme Cloud Subscription Services Agreement
Headed “Rev. 8-2-2024”, this earlier agreement covers ExtremeCloud IQ and the other ExtremeCloud subscription services. It grants a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the services for internal business purposes during the Service Term, and says the services are non-cancelable and non-refundable except as the agreement provides.[3] There is no right to the software or services unless the subscription is acquired through payment from an Extreme-authorised channel partner.[3] Data is deleted thirty days after the Service Term unless the customer renews first. Service descriptions for SD-WAN, ExtremeCloud IQ, Business Insights and Universal ZTNA are incorporated, and prevail.[3] Some service descriptions (Business Insights, for example) still point to a “terms of use” address as the agreement location, so check which agreement version the order actually incorporates.[10]
Evaluation Agreement
The ExtremeCloud IQ Evaluation Agreement (Rev. 1/21/2022) sets a thirty-day trial starting when Extreme delivers the log-in keys; Extreme may agree in writing to extend it. The trial is free and for internal evaluation of the cloud service and products, not for commercial or competitive purposes. Use after the trial period, or for commercial production purposes, requires a purchased subscription.[4] A trial that quietly turns into production is a common source of unlicensed deployments; the licence pool will show the devices as unlicensed when the trial ends.
Service descriptions with commercial terms
- Extreme AI. Entitlement depends on the licence type and may include conversational (Agent ONE), collaborative (AI Canvas) and autonomous (AI Agents) interaction. Some premium features may be subject to usage limits and additional usage-based fees. The default for autonomous actions is human-in-the-loop, and a customer that changes it does so at its own risk.[8]
- Universal ZTNA. Minimum one-year term, no cancellation before the committed term ends, liability for remaining charges and no refund of committed charges. The service is not designed for usage beyond 300 MB per user per month or throughput of 900 Mbps, and Extreme may throttle.[9]
- Business Insights. Minimum one-year term, renewal by quote, no refund of committed charges.[10]
Resale and transfer in practice
The documents point one way on transfers. Licences are granted to the first end user purchaser from an authorised source, cannot be assigned without consent, and subscriptions are valid only if acquired through authorised channels. Extreme’s secondary-market policy says advanced feature licences and subscriptions on used equipment are not transferable and must be bought again by the new end customer.[1][3][11] The licence pool does allow moving a subscription between devices of the same customer, which is a different thing from transferring rights to another entity.
