Camunda Enterprise terms, support and partner programs

This article is about the commercial terms that wrap a Camunda Enterprise subscription (order forms, fees, renewal, support plans, AI terms, liability) and the partner, reseller and marketplace routes to buy it. It does not describe the metrics in detail; see the Camunda 8 articles.

Camunda Enterprise terms are the contract framework that sits around the Camunda 8 licence metrics. The General Terms for Camunda Enterprise govern the relationship between the customer named in an Order Form and the Camunda entity set by the customer’s domicile. By signing an Order Form the customer buys a Subscription for the software and Support and Maintenance Services, and it may also buy Consulting Services. Order Forms are binding from the Start Date and incorporate the General Terms by reference unless they modify them. In a conflict the Order Form prevails for its transaction, then the General Terms with their exhibits and amendments.[1] For the models behind the terms, see software maintenance and support and true-up.

Order Forms, affiliates and quantities

The General Terms define a Subscription as the right, for the Subscription Term, to use or access the software and receive Support and Maintenance Services, always subject to strict compliance with the agreement.[1] Customer purchase orders are for internal administration only and introduce no contractual terms. Customer Affiliates may buy under the same agreement by concluding their own Order Form and expressly accepting the terms, and they are then the “Party” for that Order Form. Further Order Forms can add upgrades or services.[1]

The quantity limit is the Permitted Usage, together with any defined License Scope, which the terms describe as the area of use for the Subscription and typically aligned with the scope of the project for which the software is used.[1] If the customer exceeds Permitted Usage it must notify Camunda, which invoices the excess as the new annual fee less the annual fee already paid for the current Subscription Term and adjusts the tier at the next renewal.[1]

Fees, term and termination

Topic Provision
Payment Fees are paid annually in advance within 30 days of invoice, exclusive of taxes, with interest on undisputed overdue amounts at the lesser of 1.5% per month or the legal maximum[1]
Cancellation Fees are non-cancellable and non-refundable except as the agreement expressly provides[1]
Price changes Camunda may adjust fees for a Renewal Term or new Order Form, applies automatic increases only if the Order Form says so, and changes no fee during a current Minimum Term[1]
Term The Minimum Term begins on the Start Date and lasts at least one year[1]
Renewal Each Subscription renews automatically for one-year Renewal Terms unless either party gives written notice of non-renewal at least three months before the end of the term[1]
Termination for cause Either party may end the agreement for non-payment unremedied 14 days after notice, for material breach not cured in 30 days, for repeated breach, or for insolvency[1]
Effect of termination Termination of the agreement does not automatically end running Subscriptions, which continue to their term end unless a party terminates them for material breach[1]

Consulting Services must be used within the periods in the Order Form or the Camunda Academy terms, and unused portions expire without replacement, extension or refund unless agreed in writing.[1] Camunda may assign the agreement to an Affiliate or on a merger, acquisition or change of control without the customer’s consent, while the customer needs Camunda’s prior written consent, which is not to be unreasonably withheld. Each customer also grants Camunda a limited right during the term to use its name and logo in marketing materials, although testimonials, press releases and case studies need the customer’s approval before publication.[1]

Contracting entity and governing law

The Camunda entity, the governing law and the courts depend on where the customer is domiciled.[1]

Customer domicile Camunda entity Governing law Venue
United States, Canada, Mexico Camunda, Inc. Delaware and US federal law Delaware
Germany, Austria, Switzerland Camunda Services GmbH Germany Berlin
France, Spain, Portugal Camunda Services GmbH France Paris
United Kingdom Camunda Ltd England and Wales London
Netherlands Camunda Services GmbH Netherlands Amsterdam
Singapore Camunda Pte Ltd Singapore Singapore
Asia-Pacific except Singapore Camunda Pte Ltd England and Wales Singapore
Latin America except Mexico Camunda Services GmbH Delaware and US federal law Delaware
Rest of the world Camunda Services GmbH England and Wales London

The terms exclude the CISG and conflict-of-laws rules, waive jury trial, and require good-faith negotiation within thirty days and permit ICC mediation before court action.[1] The United Kingdom and Singapore have regional edits, for example replacing the United States government clause with a third-party-rights clause.

Warranty, infringement and liability

Camunda warrants that it will perform Services in a professional and workmanlike manner and that, for 60 days from the Subscription Start Date, the software will operate materially in accordance with the Documentation. The remedy for breach is re-performance or correction, and if Camunda cannot correct an Error within 30 days of notice the customer may terminate the affected Subscription for a pro-rata refund.[1] Camunda defends third-party claims that the software infringes a copyright, trade secret or patent in a Patent Cooperation Treaty country. The indemnity excludes modifications not made by Camunda, combinations, and failure to apply within 30 days an update that would have resolved the claim.[1]

Each party’s aggregate liability is capped at the amounts paid or payable in the 12 months before the event, and Camunda’s indemnification liability at two times that amount. The licence-compliance consequence is in the next clause: the exclusions and limitations “do not apply” to infringement or misappropriation of the other party’s intellectual property or to the customer’s wilful or material unauthorized use of the software.[1] A customer that uses the software beyond its entitlement may therefore be outside the cap, and Camunda may seek injunctive relief.

Support and maintenance

Customer Success Plans

Support and Maintenance Services are part of every Subscription and are delivered under one of three Customer Success Plans stated in the Order Form: Essential (Digital Self Service), Advanced (Guided Assistance) and Enterprise (Engaged Success). Response times are the initial qualified response and not a resolution time.[1]

Plan Severity 1 (Critical Error) Severity 2 (Major Error) Severity 3 (Support Request)
Essential 8x5, 8 Business Hours, ticketing system 8x5, 8 Business Hours, ticketing system 8x5, 16 Business Hours, ticketing system
Advanced 24x7, 2 Hours, support hotline 8x5, 8 Business Hours, ticketing system 8x5, 16 Business Hours, ticketing system
Enterprise 24x7, 30 minutes, support hotline 24x7, 2 Business Hours, support hotline 8x5, 8 Business Hours, ticketing system

A Critical Error is a total failure of Zeebe as the workflow engine, or an error that makes Zeebe impossible to use in production.[1] The Enterprise plan may include Technical Account Management where the Order Form says so. Support is provided to the customer’s named Support Contacts, which the customer may change once a year at no fee on a plan with a contact limit.

Version support and exclusions

Support and Maintenance Services cover each software Version for 18 months from its Minor Release date, after which the customer must update to a more recent Version if one is available. If no successor exists Camunda continues to support the current Version until one is released.[1] Camunda’s release policy sets the same 18-month period for Enterprise customers and aims for a new minor version every six months, in April and October.[5] Exhibit A ties support to the licence in two ways: any use outside the Permitted Usage may, at Camunda’s sole option, immediately discharge its obligation to provide support, and support does not cover errors arising from non-compliance with the agreement, unauthorized modifications, use outside the Permitted Usage, or components not supplied under the Order Form.[1]

Customers are responsible for data backup in Self-Managed deployments, and for configuring backup settings in SaaS. Camunda accesses a customer’s systems only if the customer explicitly requests, approves and monitors it, except for SaaS clusters.[1]

AI services

Section 6 of the General Terms covers AI Services. Camunda does not provide them for any Prohibited AI Use, meaning a prohibited practice or a high-risk system under EU Regulation 2024/1689 or a use restricted by other applicable AI law. The customer agrees not to configure the services as a Prohibited AI Use and bears sole compliance responsibility if it does.[1] Where the services include an AI Agent, the customer defines its goals, permissions, tools and data sources. It must ensure no AI Agent changes its own risk category without human intervention, and must keep effective human oversight so that a qualified person can monitor, intervene in and terminate the agent at any time. The customer also indemnifies Camunda against third-party claims, including fines, attributable to its use of the AI Services.

On data, the General Terms have the customer grant Camunda a perpetual licence to use Customer Content, Customer Output and Telemetry Data to provide the AI Services, to train, validate and test AI used by Camunda, and to improve the services and the software. Camunda warrants data processing agreements with its AI Service Providers and uses commercially reasonable efforts to stop those providers training on Customer Content without permission.[1] A separate Terms for AI Usage amendment applies to AI Features enabled with the toggle in the Camunda console. It states that Camunda will not use the customer’s Input or Output to train AI models, though the restriction does not apply to Telemetry Data, and that where the agreement already contains AI terms those terms prevail.[4] A contract owner should therefore check which text governs before enabling a feature. Buying through partners and marketplaces

Reseller Subscriptions and the Online Minimum Terms

A customer that buys through a reseller is governed by its purchase agreement with the reseller, which incorporates the Online Minimum Terms. The Minimum Terms bind the customer to Camunda only to the extent a valid agreement authorizes the reseller to resell, and the version that applies is the one in force when the purchase agreement was signed.[3] The Self-Managed Enterprise obligations are the same as in the direct contract: the customer reports consumed quantities within 21 days after each calendar quarter, and Camunda may audit once a year if there is no report or a materially inaccurate one.[3]

For a partner, a Reseller Subscription is a Subscription bought from Camunda for resale. Camunda grants a non-exclusive, non-transferable licence to sell the rights of use and the Services under the Minimum Terms and the Permitted Usage, and the partner may not use the software for its own business purposes. Where a customer exceeds the Permitted Usage the partner must notify Camunda, which invoices the excess.[2]

Camunda Connect Partner Program

The Camunda Connect program gives partners support to implement, promote or sell the software. The Partner Agreement becomes binding when a partner accepts it in the Partner Portal, and partner affiliates in other jurisdictions must sign their own agreement with the relevant Camunda entity.[2] A partner receives either a referral fee or a reseller discount for a single opportunity, not both, according to its tier in the Partner Program Guide. Camunda may transact a renewal directly with the customer, and then no referral fee or discount is due. The partner gives Camunda a written quarterly report of current and planned customer projects related to Camunda Enterprise.[2]

Two provisions bear on partners who build on Camunda. A Solution Package embeds the software, integrates it through documented APIs, is sold only as a single product at a single combined price, and the software must be usable only with the package. Eligible partners may receive a free Partner Sandbox licence for Self-Managed Enterprise limited to sales demonstrations, showcases and prototypes, which may not be used for productive purposes, and any other use needs a separate written agreement. Offering a Solution Package based on the free packages, or services related to them, needs Camunda’s prior written consent and an advance description of the use case.[2]

Marketplace subscriptions

Where the customer buys or renews through a Marketplace, the marketplace acts as reseller or billing agent, payment follows the marketplace terms, and the Camunda entity named in the Order Form is the third-party provider. Renewals and quantity changes use Camunda’s then-current pricing, Camunda may invoice all additional usage or capacity above the Permitted Usage, and the licence scope and other core terms remain unchanged.[1]

Out of scope

This article does not cover prices, the Partner Program Guide tiers and discounts, the data processing agreement, Camunda Academy and certification terms, the Camunda Marketplace terms of use, or the consulting Statement of Work terms beyond the points above. Pricing is by quotation, and Camunda’s pricing page directs customers to sales for both Enterprise options.[6]
