Secude

Secude (SECUDE Solutions AG, Lucerne) makes file protection software, including HaloCAD, which extends Microsoft Purview Information Protection to CAD files, and HaloSHARE for labelling and watermarking shared files. Its software is licensed under a published end-user licence agreement and, in the Americas, a term-based software subscription licence agreement with audit rights.

  1. The end-user licence agreement is between SECUDE Solutions AG, a Swiss corporation in Lucerne, and the licensee, and grants a nonexclusive, nontransferable, non-sublicensable licence for the licensee's users to use the software and documentation without modification.[1]

  2. Under the EULA the licensee may copy the software onto systems it owns, leases or controls and make one back-up copy, and the agreement may not be assigned or transferred without Secude's prior written consent.[2]

  3. The Americas subscription licence agreement grants a nonexclusive, non-sublicensable, non-transferable right to use the software for a limited period, with a term set in the associated quote that renews automatically for one-year periods unless three months' notice is given.[3]

  4. Customers must report the information needed to calculate fees; Secude may audit use on 60 days' notice, under-licensing is charged at twice the fees for the detected use, and the customer bears audit costs if use exceeds the agreed use by more than 5%.[4]

  5. Support under the subscription agreement covers software versions under an n-2 support scheme, where n is the currently available release.[5]
