ORDAT

ORDAT GmbH & Co. KG is a German developer of the ORDAT.ERP system for mid-sized manufacturers and a Microsoft Dynamics 365 partner. Its general terms cover perpetual sale of standard software, software as a service and rental of third-party software, with usage rights limited to the customer's internal purposes.

  1. Unless the contract states otherwise, ORDAT grants on full payment a non-exclusive, non-transferable and non-sublicensable right to use its deliverables to the extent needed for the contract's purpose, with sublicensing to affiliated companies permitted.[1]

  2. Where software is sold outright the usage right is unlimited in time; in all other cases it is limited to the term of the relevant contract.[2]

  3. The usage right covers only the customer's internal purposes and excludes making the software available to third parties, for example as application service providing or software as a service.[3]

  4. Standard software sold by ORDAT is delivered in executable form, usually by download, without source code, and is installed by the customer.[4]

  5. For SaaS, ORDAT provides the agreed number of user names and passwords for remote access, and any access software is licensed only for the term of the SaaS contract.[5]

  6. ORDAT states that the core technologies of ORDAT.ERP are its own developments and free of third-party licences.[6]
