Nexthink

Nexthink is a Swiss publisher of a digital employee experience (DEX) management platform that collects endpoint, application and network data through an installed Collector. It is sold as a term subscription under the Nexthink Main Services Agreement, licensed per device and, for virtual desktops, per VDI session.

  1. Nexthink grants a limited, non-exclusive, non-transferable right to use the Services during the Order Term, solely for the customer's internal business purposes; the Services are not sold but are subject to licence or subscription rights for the Subscription Term.[1]

  2. The Services require a Collector installed on endpoints or devices; once allocated to a device, a Collector licence may not be moved to another device unless the original device has been decommissioned.[2]

  3. VDI use is licensed by a maximum number of VDI Sessions, calculated by adding the maximum number of simultaneous sessions used by each virtual device or desktop pool over a 24-hour period (UTC).[3]

  4. Orders renew automatically for successive 12-month periods unless either party gives written notice at least 60 days before the end of the current term; Nexthink may charge then-applicable fees for a renewal term with 60 days' notice.[4]

  5. During the term and for one year afterwards, Nexthink or a third party may audit the customer's compliance (a Compliance Assessment); if non-compliance is found, the customer reimburses the full cost of the assessment.[5]
