Imprivata

Imprivata makes identity and access management software, including single sign-on, multifactor authentication, privileged and third-party access management, with a focus on healthcare. Its on-premise software and cloud services are licensed per named user under the Imprivata Master License and Services Agreement, either as subscriptions or, for on-premise software, perpetual licences.

  1. Imprivata's Master License and Services Agreement is supplemented by product-specific terms for Customer Connect, Enterprise Access, FairWarning, GroundControl, Patient Access, Access Intelligence, managed services, maintenance and support, and hardware.[1]

  2. On-premise software is licensed for the customer's direct and internal business purposes on a limited, non-transferable, non-sublicensable basis in the quantities on the Order Form, which specifies whether the licence is subscription-based or perpetual.[2]

  3. Perpetual licences apply only to the version of on-premise software delivered; updates require a current Support subscription.[3]

  4. A separate licence must be purchased for each user regardless of whether the user is actively using the products; the products are not licensed on a concurrent-user basis, and non-clinical user licences are defined separately.[4]

  5. The customer consents to audits by Imprivata or an independent auditor, during standard business hours, to check compliance with the agreement and its Licensed Capacity, including the number of Users and other pricing metrics.[5]
