Epicor

Epicor Software makes ERP and industry software for manufacturing, distribution and retail businesses. Products are licensed under its Master Customer Agreement as SaaS, subscription or perpetual products, counted by named or concurrent users.

  1. Each Epicor customer agreement consists of an Order, the Master Customer Agreement Master Terms and Conditions and, where applicable, product supplements, a service level agreement, services specification and data processing addendum.[1]

  2. Epicor grants a non-exclusive, non-sublicensable, non-transferable right to use deliverables for the customer's internal business purposes during the License Term, which may be perpetual or limited.[2]

  3. Under named-user licensing, a login is for one designated individual and may not be shared, but can be redeployed to another individual on notice; under concurrent-user licensing, no more users may access the products than the Order allows.[3]

  4. Epicor may remotely monitor usage and, no more than once a year, request a signed certification of compliance within 10 business days; usage above the named or concurrent users in the Order must be paid for.[4]

  5. Support for perpetual products is sold as a subscription that starts on delivery, runs for 12 months, and renews automatically for one-year periods unless either party gives notice; support fees are normally payable annually in advance.[5]
