Darktrace

Darktrace makes AI-based cyber security products for network, email, cloud, identity and OT environments. The offering is sold as subscriptions under the Darktrace Master Services Agreement, sized by usage metrics set in each order.

  1. The Master Services Agreement is a binding contract between the customer and Darktrace Holdings Limited and governs access to and use of the Darktrace offering.[1]

  2. Customers may use the offering for their own and their affiliates' internal business purposes during the applicable Subscription Period.[2]

  3. Use is limited to the Usage Metrics in the applicable order, and the customer pays additional fees if those Usage Metrics are exceeded.[3]

  4. Unless the order says otherwise, fees are invoiced annually at the start of each year of the Subscription Period and are payable within 30 days.[4]

  5. Title to any appliances supplied by Darktrace stays with Darktrace; they may only be used to deliver and run the software and must be returned when the Subscription Period ends.[5]

  6. Darktrace / NETWORK subscriptions are sold according to the Usage Metrics bands set out in the product specification.[6]
