Caseware

Caseware develops audit, assurance, financial reporting and data analytics software for accounting firms, corporations and governments, delivered as cloud offerings and desktop products. Its Master Product and Services Agreement licenses desktop products per Permitted User under subscription terms set in Order Forms.

  1. On execution of an Order Form and payment of fees, Caseware grants a revocable, limited, non-exclusive, non-transferable licence to use the desktop Products identified in the Order Form.[1]

  2. A licence is personal to each Permitted User and may not be assigned without Caseware's written consent, except when moved between Licensed CPUs for the same user or reassigned to a new employee or contractor who replaces a departed one.[2]

  3. Use of a Product may require activation and registration by a Permitted User.[3]

  4. Caseware may monitor and audit usage, at its own expense; if an audit finds use beyond the Order Form entitlement, the customer must pay for the overuse with interest.[4]

  5. Subscriptions continue for the Initial Term and Renewal Terms (12 months unless the Order Form says otherwise) until the customer gives written notice of non-renewal three months before the end of the current term.[5]

  6. The agreement takes effect on the earliest of signing an Order Form, clicking accept, first use, or payment.[6]
