- Evidence
- A Seat is a licence for a single User
- An Entitlement is a use limitation specified in the Order
- Use is limited to internal business purposes by Users
- Usage above a limit is charged as excess usage
- Reselling or making the Service available to third parties is prohibited
- Access for building a competing product or by a known competitor is prohibited
- Circumventing a contractual usage limit is prohibited
- Availability monitoring or benchmarking disclosed to third parties is prohibited
- Sensitive Data must not be included in Customer Data
- Suspension is possible after 15 days notice for breach or 30 days delinquency
- Overage and usage fees are invoiced monthly in arrears
- Fees may change on 30 days written notice
- Payments are non-refundable
- Late payments carry 1.5 percent monthly interest
- Subscriptions renew automatically at current rates unless cancelled before the next billing date
- Termination for convenience takes effect at the end of the Subscription Term
- Customer Data need not be kept 30 days after termination
- Developer Tier and trial services can be ended at LaunchDarkly's discretion
- Liability for free and trial services is capped at $1,000
- Liability is capped at fees paid or payable in the prior twelve months
- California law governs and disputes go to the Northern District of California
- The Agreement controls over any Order in a conflict
- Older Starter and Pro subscriptions stay on archived terms until term end
- LaunchDarkly may use anonymized or aggregated customer data
