- Business licence is limited, non-exclusive and non-transferable for the Term
- Affiliates may use the Services if the Client stays liable
- User
- The Order states the Services, Fees, Term and number of authorized Users and controls over the Terms
- Licences can be re-allocated between Users within the Order limit
- Each User needs their own account and credentials may not be shared
- Services may not be sublicensed or offered to third parties
- Support covers current and prior major OS or browser and Apps under one year old
- Availability is a 99.9 percent monthly target, not a warranty
- Invoiced Fees are due 30 days after receipt
- Fees are non-refundable unless the Terms say otherwise
- Dashlane may suspend after 10 days from an overdue notice
- Reseller purchases follow the reseller agreement; Dashlane may suspend for non-payment after a 10-day cure
- Business term renews annually unless notice is given 30 days before expiry
- Initial Term is one year unless the Order says otherwise
- Dashlane gives 45 days notice of Renewal Term fee changes
- Terms changes take effect at the next Renewal Term unless the law requires otherwise
- Eurozone Clients contract with Dashlane SAS, others with Dashlane USA, Inc.
- Business trial access ends automatically and trial services carry no warranty
- Liability cap is the fees paid and payable in the previous 12 months
- Governing law and venue for Dashlane USA Clients is New York
- Either party may terminate for uncured material breach after 30 days
- On termination all licences end and accrued Fees remain payable
- The Client keeps ownership of Secured Data
- Dashlane notifies the Client of an Incident within 36 hours
