- Defined as thirty percent (30%) of the cumulative licence fees paid for the Software under the applicable agreement, plus an annual Maintenance fee, payable to deploy licensed Software into a Cloud Computing Environment where the agreement has no cloud grant.

- Due on or before first deployment, and due once the Software is deployed in a Cloud Computing Environment even on a temporary basis. It does not grant Units in excess of those licensed.
