- "If at any time Licensee assigns Seats to a number of Devices and/or Licensed Users in excess of five percent (5%) of the total number of licensed Seats (the “Overage Allowance”), Licensee will be prohibited from assigning a Seat to a new Device until the overage has been corrected by Licensee or additional Seats have been licensed by Licensee."
