- Any assignment or transfer of the Agreement or of Customer’s rights (including by merger, sale of assets or change of control) requires 3DS’s prior written approval; attempts without consent are void, and any approved transfer of licenses may be subject to an adjustment fee. The license grant is non-exclusive and non-transferable except as expressly permitted (CLOSA §2.1).
